Aegisify Terms Of Use

IMPORTANT NOTICE: These Terms contain important provisions governing subscriptions, authorized security testing, customer data, Artificial Intelligence, warranty disclaimers, limitation of liability, indemnification, dispute resolution, binding individual arbitration, and a class-action waiver.

Please read these Terms carefully before accessing or using an Aegisify Product or Service.

1. AGREEMENT AND ACCEPTANCE

These Terms of Use (“Terms”) are a binding agreement between you and Aegisify, Inc. (“Aegisify,” “we,” “us,” or “our”). These Terms govern your access to and use of Aegisify websites, software, WordPress plugins, SaaS applications, dashboards, accounts, subscriptions, Agent connections, APIs, scans, reports, documentation, blogs, communications, support, and related products and services.

“You” means the individual accessing or using the Services and any business, customer, employer, agency, organization, or other legal entity on whose behalf that individual acts.

You accept these Terms when you:

  • Check a box stating that you agree to the Terms;
  • Click an “I Agree,” “Accept,” “Register,” “Create Account,” “Subscribe,” “Purchase,” “Download,” “Install,” “Activate,” “Connect,” “Run Scan,” or similarly labeled button that is accompanied by clear notice that the action constitutes agreement to these Terms;
  • Sign an order form, subscription agreement, statement of work, or other document incorporating these Terms; or
  • Continue to access or use the Services after receiving legally sufficient notice of revised Terms where continued use is a legally permitted means of acceptance.

By accepting these Terms, you represent and warrant that:

  • You have read and understand these Terms;
  • You agree to be legally bound by them;
  • You are at least 18 years old and legally capable of entering into a contract;
  • All registration, payment, and account information you provide is accurate and complete;
  • You have authority to act for and bind any organization on whose behalf you use the Services; and
  • Your use of the Services is authorized and lawful.

If you do not agree to these Terms, you must not register, purchase, download, install, activate, connect, scan with, access, or use the Services.

2. DEFINITIONS

“Account” means an account used to access an Aegisify website, dashboard, SaaS platform, subscription, license, support service, partner service, or other restricted feature.

“Agent” means the Aegisify WordPress Agent or another Aegisify component installed in an authorized WordPress environment that performs local operations or connects the environment to an Aegisify SaaS service.

“Authorized Domain” means a domain, website, server, application, network, account, or system that you own or are expressly authorized to administer, scan, monitor, protect, modify, or evaluate.

“Customer Content” means information, files, logs, code, website content, prompts, reports, instructions, configuration, backup material, support submissions, or other materials that you or an authorized user submit, transmit, upload, connect, or make available through the Services.

“Customer Data” includes Customer Content and information originating from or relating to your Authorized Domains, users, accounts, systems, scans, integrations, and use of the Services.

“Documentation” means Aegisify’s published user instructions, technical documentation, product descriptions, help-center material, changelogs, and service-specific instructions.

“Order” means an accepted checkout transaction, order form, subscription, plan selection, statement of work, enterprise agreement, or other written purchase document.

“Products” or “Services” means all covered Aegisify offerings described in these Terms.

“Security Data” means technical data involving domains, configurations, software, dependencies, code, files, routes, APIs, vulnerabilities, exposure, access, activity, threats, logs, scans, reports, security events, or similar evidence.

3. SERVICES COVERED

These Terms apply to current and future Aegisify Products and Services, whether offered free of charge, through a trial, through a paid license or subscription, as a beta, as part of a bundle, as a public service, or through a separate Order.

Covered Services include, without limitation:

  • Aegisify Audit: SaaS-based WordPress security auditing, site intelligence, verified-domain scanning, dashboards, reports, findings, risk summaries, remediation workflows, and related functions;
  • Aegisify WordPress Agent: customer-installed software providing approved WordPress-side security, software, dependency, configuration, code, file, activity, vulnerability, and optional diagnostic evidence;
  • Aegisify Core: suite installation, product access, plugin installation, activation, deactivation, trial, subscription, license, and related management functions;
  • Aegisify Shield: WordPress security hardening, administrator protection, login controls, access protection, activity monitoring, file integrity, malware indicators, and security configuration functions;
  • Aegisify WAF: web application firewall, request inspection, rule enforcement, threat scoring, bot control, API protection, rate control, traffic filtering, logging, alerts, and attack-analysis functions;
  • Aegisify Backup: backup, restore, rollback, database, table, file, folder, migration, transfer, retention, snapshot, emergency recovery, and disaster-recovery functions;
  • Aegisify SEO: SEO analysis, website scanning, metadata, schema, Search Console integration, content and visibility recommendations, indexing, change tracking, automation, remediation, evidence, and AI-assisted functions;
  • Aegisify SiteMap: XML sitemaps, HTML sitemaps, robots.txt, crawler policies, indexing controls, URL discovery, exclusion, and related functions;
  • Aegisify Links: short links, redirects, internal linking, bulk links, campaign links, WooCommerce links, click tracking, analytics, and link-health functions;
  • Aegisify Spam or Spam Guard: comment, registration, review, form, checkout, bot, abuse, and spam-evaluation functions;
  • Aegisify SMTP: email configuration, delivery, testing, logs, troubleshooting, and notification functions;
  • Aegisify Ticket: support-ticket, communication, workflow, notification, and attachment functions;
  • Chue License Manager and related systems: license issuance, activation, validation, entitlement, domain binding, subscription, installation, update, and anti-abuse functions;
  • Public external scans, demonstrations, reports, sample reports, free tools, trials, APIs, integrations, partner programs, support, professional services, Documentation, blogs, newsletters, and educational materials; and
  • Updates, replacements, renamed Products, successor Products, bundled features, previews, betas, experiments, and future Aegisify offerings.

Specific Products may be subject to additional Documentation, policies, license terms, Orders, or service-specific conditions.

4. ORDER OF PRECEDENCE

If different Aegisify agreements conflict, the following order generally controls:

  1. A signed enterprise agreement, negotiated agreement, or statement of work;
  2. An accepted Order or order form;
  3. A signed Data Processing Addendum, solely for matters within its scope;
  4. Service-specific terms or an End User License Agreement;
  5. These Terms;
  6. The applicable Privacy Policy, Refund Policy, Disclaimer, Documentation, and other incorporated policies.

A document controls only for the subject matter it expressly addresses.

Purchase orders, procurement portals, customer forms, or similar customer documents do not modify these Terms unless Aegisify expressly agrees to the modification in a writing signed by an authorized representative.

5. ACCOUNTS AND AUTHORIZED USERS

You may be required to create an Account. You are responsible for:

  • Providing accurate and current information;
  • Keeping contact, billing, domain, and administrator information current;
  • Maintaining the confidentiality of passwords, security keys, recovery information, API credentials, and authentication methods;
  • Using appropriate passwords and multi-factor authentication where available;
  • Restricting access to authorized users;
  • Promptly removing access for former employees, contractors, agencies, or administrators;
  • All activity conducted through your Account or credentials; and
  • Promptly notifying Aegisify of suspected unauthorized access or credential compromise.

You may not share an individual Account in a manner that circumvents user, plan, license, security, or subscription limitations.

Aegisify may rely on instructions submitted through an authenticated Account unless Aegisify has actual notice that the Account is compromised.

You remain responsible for your administrators, employees, agencies, developers, contractors, and other authorized users.

6. SOFTWARE LICENSE

Subject to payment of applicable fees and compliance with these Terms, Aegisify grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license during the applicable license or subscription term to install and use proprietary portions of the Products:

  • On the number of Authorized Domains permitted by your plan;
  • For your internal business or personal website-management purposes;
  • Using only features included in your plan or entitlement; and
  • In accordance with the Documentation and applicable law.

No ownership interest is transferred to you.

You may permit an agency, developer, managed-service provider, or contractor to operate a Product on your behalf, provided that:

  • The use remains within your purchased entitlement;
  • The service provider is bound by obligations consistent with these Terms;
  • The service provider does not use the Product for unrelated customers without a separate entitlement; and
  • You remain responsible for the service provider’s conduct.

7. OPEN-SOURCE SOFTWARE

Certain Product components may be distributed under the GNU General Public License or another open-source license.

Open-source components are governed by their applicable open-source licenses. Nothing in these Terms restricts rights that an applicable open-source license expressly grants and that cannot legally be restricted by separate contract.

Restrictions in these Terms concerning copying, modification, reverse engineering, redistribution, or derivative works apply only to:

  • Aegisify’s proprietary code and hosted services;
  • License keys, SaaS functionality, proprietary APIs, protected content, trademarks, and service access;
  • Components not governed by an applicable open-source license; and
  • Conduct beyond the rights granted by the applicable open-source license.

Open-source rights do not grant a right to:

  • Access Aegisify-hosted SaaS systems without authorization;
  • Use Aegisify trademarks or branding;
  • Receive paid features, updates, hosting, support, vulnerability intelligence, AI services, licenses, or subscriptions without payment;
  • Bypass service-side feature controls or domain entitlements; or
  • Misrepresent a modified or redistributed Product as an official Aegisify release.

8. LICENSES, DOMAINS, ENTITLEMENTS, AND ENFORCEMENT

Plans may limit:

  • The number of domains, websites, users, Agents, scans, API calls, reports, licenses, storage, backups, AI usage, or other resources;
  • Available features;
  • Scan depth or frequency;
  • Retention periods;
  • Support access;
  • Domain changes or transfers; and
  • Free, trial, Pro, business, agency, or enterprise use.

Entitlements are determined by the applicable Order, Account, checkout page, plan description, or Documentation.

Aegisify may process technical information needed to:

  • Issue and validate licenses;
  • Associate a license with an Account or Authorized Domain;
  • Enforce domain, usage, plan, and feature limits;
  • Provide updates and security fixes;
  • Prevent license sharing, unauthorized duplication, fraud, and abuse;
  • Verify product and environment compatibility;
  • Administer bundled suite licenses; and
  • Restrict access after expiration, cancellation, refund, nonpayment, compromise, or violation.

Aegisify may activate, deactivate, suspend, rotate, replace, or revoke a license or security key when reasonably necessary to administer the Services, protect security, enforce an entitlement, comply with law, or prevent abuse.

You may not:

  • Share, sell, transfer, publish, or expose a license key or Agent security key;
  • Use one license on more domains than permitted;
  • Repeatedly change domains to evade a plan limit;
  • Manipulate system clocks, identifiers, network requests, files, databases, code, or APIs to bypass entitlement checks;
  • Use a refunded, expired, stolen, duplicated, or unauthorized license;
  • Remove or defeat service-side licensing or feature controls; or
  • Represent an unofficial or modified license as authorized by Aegisify.

9. FREE PRODUCTS, TRIALS, BETAS, AND PREVIEWS

Aegisify may offer free Products, free features, trials, challenges, demonstrations, previews, early-access functions, or beta Services.

Unless the offer expressly states otherwise:

  • A free Product does not include guaranteed support, updates, service levels, storage, retention, or continued availability;
  • A trial may end automatically when the trial period expires;
  • A no-payment-method trial will not be charged unless you later provide payment information and affirmatively purchase a paid plan;
  • A trial requiring payment information will convert to a paid plan only when the price, timing, renewal, and cancellation terms were clearly disclosed and you provided legally sufficient consent;
  • Beta and preview functions may be incomplete, unstable, inaccurate, changed, or discontinued;
  • Data created through a free, trial, beta, or preview Service may be subject to shorter retention;
  • Features may be restricted or changed; and
  • Free or trial use may be limited to one offer per customer, Account, organization, payment method, device, or domain.

You must not use a beta or preview Service as the sole control for a production, regulated, mission-critical, safety-critical, emergency, medical, financial, government, industrial-control, or similarly high-risk environment.

10. SUBSCRIPTIONS, AUTOMATIC RENEWAL, AND CANCELLATION

Some Services are sold as recurring subscriptions.

Before you purchase a recurring subscription, the applicable checkout or Order will identify, as required:

  • The Product or plan;
  • The price and billing frequency;
  • The subscription or renewal term;
  • Whether the subscription renews automatically;
  • Any trial, promotional, or introductory period;
  • The price that applies after a trial or promotion;
  • Any minimum commitment;
  • The cancellation method; and
  • Other material terms.

By affirmatively accepting an automatic-renewal offer, you authorize Aegisify or its payment provider to charge the applicable payment method at the stated frequency until you cancel.

Aegisify will provide an electronic or other retainable acknowledgment containing applicable renewal and cancellation information.

Where required by law, Aegisify will:

  • Obtain separate or express affirmative consent to automatic renewal;
  • Maintain records of consent;
  • Provide trial-expiration, annual-renewal, material-change, fee-change, or annual reminder notices;
  • Provide a direct and reasonably accessible cancellation method;
  • Allow an online subscription to be canceled online without unreasonable obstruction or delay; and
  • Honor other non-waivable renewal or cancellation rights.

You may cancel a subscription using the method displayed in your Account, checkout acknowledgment, renewal notice, or applicable Order.

Unless law or the applicable Order requires otherwise:

  • Cancellation stops future renewals;
  • Cancellation does not retroactively refund an existing billing period;
  • Access generally continues until the end of the paid term;
  • Usage-based, professional-service, or separately incurred charges remain payable;
  • Unused entitlements are not converted to cash or credit; and
  • You are responsible for exporting information you wish to retain before access ends.

Aegisify may require reasonable authentication before processing a cancellation to protect the Account.

11. FEES, PAYMENT, AND TAXES

You agree to pay all charges stated in the applicable Order.

Unless otherwise stated:

  • Fees are quoted in United States dollars;
  • Fees are due at purchase or renewal;
  • Payment obligations are non-cancelable after the applicable refund period;
  • Fees are exclusive of taxes, duties, levies, withholding, or governmental assessments;
  • You are responsible for applicable taxes other than taxes imposed on Aegisify’s net income;
  • You authorize Aegisify’s payment provider to store a payment token and process authorized charges;
  • You must keep billing information current; and
  • You are responsible for bank, currency-conversion, and payment-provider charges.

Aegisify may correct pricing or billing errors. If a correction materially increases an agreed charge, Aegisify will obtain any additional consent required by law.

Past-due amounts may result in:

  • Suspension of paid features;
  • Loss of updates, support, scans, reports, storage, licenses, or Agent connectivity;
  • Interest or collection costs where permitted by law and disclosed in the applicable agreement;
  • Termination of the subscription; and
  • Referral to a collection provider or legal counsel.

12. PRICE AND PLAN CHANGES

Aegisify may change future pricing, plan structure, usage limits, packaging, or included features.

A change will not alter charges already paid for a current fixed term unless:

  • The applicable Order permits the change;
  • You affirmatively agree to it;
  • The change results from taxes, government assessments, or third-party pass-through charges expressly permitted by the Order; or
  • Applicable law permits the change.

Aegisify will provide required advance notice of renewal-price changes or other material subscription changes and explain how to cancel.

13. REFUNDS

Refund eligibility is governed by the Aegisify Refund Policy and the applicable Order.

Unless a different policy is presented at purchase, eligible original purchases may be subject to a 14-day refund-request period.

Subject to applicable law, refunds may be unavailable for:

  • Requests made after the applicable refund period;
  • Renewals;
  • Usage-based charges;
  • Completed scans, reports, storage, data processing, AI usage, or other consumed resources;
  • Custom, professional, consulting, migration, recovery, incident-response, or development services;
  • Enterprise or negotiated agreements stating separate terms;
  • Accounts suspended or terminated for fraud, abuse, unauthorized scanning, infringement, or material breach; or
  • A Product previously refunded to the same customer, organization, domain, or Account.

When a refund is issued:

  • The corresponding license, subscription, entitlement, bundle, or paid feature may be revoked;
  • You must stop using proprietary paid functions;
  • Updates and paid support may end;
  • Stored data may become subject to deletion; and
  • Aegisify may offset legally permitted amounts you owe.

The contractual refund process is the agreed remedy for ordinary dissatisfaction, but nothing in these Terms eliminates a refund, rescission, warranty, or consumer right that cannot legally be waived.

14. CHARGEBACKS AND PAYMENT DISPUTES

Contact Aegisify before initiating a chargeback so the parties have an opportunity to investigate billing errors, cancellation requests, fraud, or service concerns.

A chargeback does not cancel a subscription unless Aegisify confirms cancellation or applicable law provides otherwise.

If a charge is disputed, Aegisify may:

  • Suspend the affected subscription, license, or Account while the dispute is investigated;
  • Provide relevant transaction, acceptance, access, usage, cancellation, and communication records to the payment provider;
  • Terminate access when the payment is reversed;
  • Recover undisputed amounts and permitted fees; and
  • Restrict future purchases when there is evidence of fraud, repeated abusive disputes, or unresolved nonpayment.

Aegisify will not penalize you merely for exercising a non-waivable right to dispute an unauthorized or legally improper charge.

15. AUTHORIZED DOMAINS AND SECURITY TESTING

You may use scanning, Audit, Agent, DAST, SAST, API, route-discovery, role-testing, vulnerability, code-analysis, configuration, authentication, exposure, monitoring, diagnostic, or security functions only on an Authorized Domain.

You represent and warrant that:

  • You own the target or have express authorization from its owner;
  • You have authority to select the scan scope and credentials;
  • You have obtained any required customer, employee, user, hosting-provider, or third-party permission;
  • The testing will not violate law, contract, confidentiality, acceptable-use, or third-party rights;
  • You will not use the Services to gain unauthorized access;
  • You will not intentionally disrupt availability or damage data;
  • You will use the minimum testing intensity reasonably necessary; and
  • You will stop testing if you encounter unauthorized access, unintended sensitive information, or material operational risk.

You must not use the Services to:

  • Scan an unrelated third party without authorization;
  • Conduct denial-of-service or destructive testing;
  • Exploit a vulnerability beyond what is reasonably necessary to validate an authorized finding;
  • Exfiltrate, retain, publish, sell, or disclose third-party data;
  • Install malware, backdoors, web shells, ransomware, spyware, or unauthorized code;
  • Evade authentication or access controls without permission;
  • Impersonate another person or organization;
  • Hide the origin of malicious traffic; or
  • Use Aegisify infrastructure as a platform for attacking another system.

Aegisify may verify domain control, require additional authorization, reduce scan intensity, cancel a scan, suspend an Account, or request supporting documentation.

16. PUBLIC EXTERNAL SCANS

A public external scan is limited to publicly observable behavior and does not provide the same visibility as an authenticated scan, Agent connection, code review, forensic investigation, or formal penetration test.

Public scans may process:

  • The submitted domain, hostname, URL, or IP address;
  • Public DNS, certificate, header, response, route, API, redirect, authentication-surface, and transport information;
  • The requester’s IP address, browser, session, and abuse-prevention information;
  • Scan status, errors, rate limits, and findings; and
  • Information needed to protect the scanning service.

A feature-specific statement that visible scan results are deleted after navigation applies to the result data described by that interface. Limited security, rate-limit, diagnostic, fraud-prevention, legal, or abuse records may remain as described in the Privacy Policy.

You must not rely on a public scan as:

  • A complete security assessment;
  • A certification of security or compliance;
  • Proof that no vulnerability exists;
  • Authorization to access or exploit a system;
  • A substitute for internal review; or
  • A substitute for professional penetration testing or incident response.

17. AGENT CONNECTION AND TELEMETRY

The Agent does not connect automatically. An authorized administrator must install and activate it, associate the Authorized Domain with the correct Aegisify target, enter or approve the applicable security key, and enable supported telemetry or scan functions.

Depending on the Product, configuration, plan, and permissions you select, the Agent may process or transmit structured technical information including:

  • Domain and site identity;
  • WordPress core, PHP, server, database, hosting, runtime, and configuration information;
  • Plugin, theme, must-use plugin, package, library, dependency, version, repository, activation, network, update, compatibility, and automatic-update information;
  • Roles, capabilities, administrator information, authentication posture, and supported account events;
  • REST routes, APIs, admin-ajax actions, GraphQL interfaces, forms, endpoints, and authentication surfaces;
  • Configuration, permissions, hardening, file drift, integrity, malware, suspicious-pattern, code, static-analysis, and dependency signals;
  • Known vulnerabilities, software-health information, severity, affected versions, and remediation status;
  • Plugin, theme, file, configuration, login, user, administrator, and supported WordPress activity events;
  • Scan findings, evidence, progress, errors, summaries, reports, recommendations, and remediation history;
  • Optional WordPress, PHP, application, plugin, theme, security, WAF, activity, debug, and diagnostic logs; and
  • Information selected for AI-assisted analysis.

Telemetry availability depends on the installed version, enabled sensors, permissions, website configuration, subscription, and Product capabilities.

You authorize Aegisify to process the enabled telemetry to provide the requested Services.

You remain responsible for reviewing telemetry permissions and disabling access that is unnecessary for your environment.

18. OPTIONAL LOGS AND SENSITIVE INFORMATION

Logs can contain sensitive or confidential values written by WordPress, a plugin, theme, custom application, user, server, hosting environment, or third-party service.

Logs may contain:

  • IP addresses;
  • Usernames, email addresses, and account identifiers;
  • URLs, query strings, form fields, request fragments, and headers;
  • File paths, database names, stack traces, and source references;
  • Authentication events and administrative actions;
  • Order, customer, transaction, or support references;
  • Session identifiers;
  • API keys, tokens, secrets, or credentials that were improperly logged; and
  • Other Personal Information or confidential information.

You are responsible for:

  • Determining whether log access is appropriate;
  • Providing required privacy, employee-monitoring, or user notices;
  • Redacting unnecessary sensitive information;
  • Disabling unnecessary debugging;
  • Protecting access to log files;
  • Rotating exposed credentials;
  • Configuring retention; and
  • Ensuring that submission is lawful and authorized.

Do not submit passwords, private keys, full payment-card information, protected health information, classified information, Controlled Unclassified Information, export-controlled information, biometric templates, or other highly regulated information unless Aegisify expressly agrees in a signed written agreement to receive it.

19. CUSTOMER DATA AND CUSTOMER CONTENT

As between you and Aegisify, you retain ownership of Customer Content, subject to third-party rights and applicable law.

You grant Aegisify and its authorized service providers a limited, worldwide, non-exclusive license during the applicable service relationship to host, copy, transmit, access, analyze, transform, display, and otherwise process Customer Data only as reasonably necessary to:

  • Provide and secure the Services;
  • Perform your instructions;
  • Generate requested scans, dashboards, reports, findings, recommendations, backups, restores, migrations, SEO analysis, link functions, communications, or support;
  • Operate integrations and AI-assisted functions;
  • Prevent fraud, abuse, attacks, unauthorized access, or service disruption;
  • Maintain, troubleshoot, and improve reliability;
  • Comply with law and enforce agreements; and
  • Exercise other rights expressly described in the Privacy Policy or an applicable agreement.

You represent and warrant that:

  • You own Customer Content or have sufficient rights to provide it;
  • Processing it as instructed will not violate law or third-party rights;
  • You have provided required notices and obtained required consent;
  • Customer Content does not contain unlawful, infringing, malicious, deceptive, or unauthorized material; and
  • Your instructions are complete, accurate, and lawful.

Aegisify may remove, restrict, quarantine, or decline to process Customer Content that reasonably appears unlawful, malicious, dangerous, infringing, unauthorized, or inconsistent with these Terms.

20. DATA PROTECTION AND PRIVACY

Aegisify’s Privacy Policy describes how Aegisify processes Personal Information and is incorporated into these Terms.

Depending on the processing activity:

  • Aegisify may act as an independent controller or business for Account, billing, licensing, security, support, website, and operational information;
  • Aegisify may act as a processor, service provider, or contractor for Customer Data processed solely on your instructions; and
  • You may act as the controller or business responsible for information from your website, employees, customers, visitors, users, and systems.

You are responsible for:

  • Determining an appropriate legal basis;
  • Providing privacy notices;
  • Obtaining consent where required;
  • Responding to data-subject requests;
  • Configuring cookies, tracking, logging, monitoring, security, and retention lawfully;
  • Executing a Data Processing Addendum where appropriate;
  • Limiting data to what is necessary; and
  • Using the Services consistently with sector-specific requirements.

Aegisify does not agree to serve as a HIPAA business associate, government-authorized CUI provider, payment-card vault, records custodian, fiduciary, or regulated data processor unless a signed written agreement expressly establishes that role.

21. ARTIFICIAL INTELLIGENCE

The Services may use Artificial Intelligence or machine-assisted methods to:

  • Summarize scan findings and logs;
  • Identify possible relationships among events and findings;
  • Prioritize potential risks;
  • Explain technical evidence;
  • Generate reports and remediation guidance;
  • Analyze public website information;
  • Suggest code, configuration, SEO, schema, metadata, link, security, or operational changes; and
  • Support other requested Product functions.

You authorize Aegisify to process the information you select for an AI-assisted function and, where necessary, transmit that information to authorized AI infrastructure or service providers.

AI output is probabilistic and may be inaccurate, incomplete, misleading, outdated, biased, duplicative, insecure, or inappropriate for your environment.

AI output is provided as decision support and does not constitute:

  • Legal, regulatory, compliance, accounting, tax, privacy, or professional advice;
  • A certification;
  • A guarantee that a finding is valid;
  • A guarantee that a vulnerability, threat, or SEO issue has been detected;
  • A guarantee that proposed code is secure;
  • A guarantee that a proposed fix will work; or
  • Authorization to modify a production environment.

You are responsible for:

  • Reviewing and validating AI output;
  • Confirming evidence and sources;
  • Testing proposed changes;
  • Maintaining backups and rollback capability;
  • Obtaining professional review where appropriate;
  • Approving or rejecting each material action; and
  • Monitoring the result.

You must not knowingly use AI functions to generate unlawful malware, phishing content, unauthorized exploits, deceptive content, infringing content, or instructions intended to harm another system.

22. REMOTE AND AUTOMATED ACTIONS

Certain Services may permit an authorized user to initiate, schedule, approve, or automate an action affecting a connected WordPress environment.

Actions may include:

  • Installing, activating, deactivating, updating, or removing a supported plugin or theme;
  • Applying a configuration, hardening, firewall, access, SEO, schema, metadata, sitemap, redirect, or link change;
  • Starting a scan or fetching logs;
  • Creating a backup or snapshot;
  • Starting a restore, rollback, migration, or recovery action;
  • Blocking or allowing a request, address, user, bot, route, or integration;
  • Sending an email, alert, or notification; or
  • Performing another administrator-authorized operation.

By initiating or approving an action, you represent that:

  • You are authorized to perform it;
  • You understand that it may materially alter the website;
  • You reviewed the requested scope;
  • You have an appropriate backup and recovery plan;
  • You tested the action where practical;
  • You accept the possibility of downtime, incompatibility, data alteration, access loss, or unintended consequences; and
  • You will monitor and validate the outcome.

Aegisify may require additional confirmation for a high-impact action. A confirmation mechanism does not transfer responsibility for the action to Aegisify.

23. SECURITY PRODUCTS AND WAF ENFORCEMENT

Security products reduce risk but do not eliminate it.

WAF, Shield, spam, login, administrator, malware, integrity, bot, API, and access-control features may:

  • Block legitimate requests, administrators, users, customers, APIs, crawlers, payment services, or integrations;
  • Fail to block malicious requests;
  • Generate false positives or false negatives;
  • Change access, roles, capabilities, sessions, files, settings, or request handling;
  • Increase server or database resource consumption;
  • Conflict with another security layer, CDN, proxy, cache, host, theme, plugin, or custom application;
  • Delay or interrupt a business process; or
  • Require manual investigation, allow-listing, rollback, or recovery.

You must maintain:

  • Emergency hosting or server access;
  • Independent backups;
  • Current WordPress, plugin, theme, and server updates;
  • Secure passwords and multi-factor authentication;
  • Appropriate least-privilege access;
  • Monitoring and incident-response procedures;
  • Recovery instructions; and
  • Qualified personnel appropriate to your risk.

24. BACKUP, RESTORE, MIGRATION, AND RECOVERY

You are responsible for maintaining independent and tested backups.

Aegisify does not guarantee that:

  • Every file, table, field, record, configuration, media item, plugin, theme, or database object will be included;
  • A backup will complete;
  • A backup will remain uncorrupted or accessible;
  • A restore will succeed;
  • A recovery link or storage provider will remain available;
  • A migration will preserve every setting or integration;
  • A rollback will restore the exact prior state;
  • A stated recovery-point or recovery-time objective will be achieved; or
  • Data created after the selected recovery point will be preserved.

A restore, migration, rollback, synchronization, or overwrite can:

  • Replace newer information;
  • Delete or duplicate records;
  • Change domains, paths, permissions, serialization, links, or configuration;
  • Break licenses or integrations;
  • Cause downtime;
  • Expose data if storage or recovery credentials are mishandled; or
  • Make a website inaccessible.

You must protect downloaded archives, database exports, encryption keys, recovery links, remote-storage credentials, and migration packages.

25. SEO, SEARCH, SITEMAPS, SCHEMA, LINKS, AND ANALYTICS

Aegisify does not control Google, Bing, social platforms, Artificial Intelligence providers, web crawlers, indexes, ranking systems, browsers, link destinations, or third-party algorithms.

Aegisify does not guarantee:

  • Crawling or indexing;
  • Search-engine rankings;
  • Traffic, impressions, clicks, leads, sales, or revenue;
  • Display of a particular title, description, schema result, rich result, answer, or citation;
  • Inclusion in an Artificial Intelligence response;
  • That a crawler will honor robots.txt, a sitemap, noindex, a canonical, IndexNow, or another directive;
  • That an SEO score reflects search-engine treatment;
  • That an automated change improves performance; or
  • That analytics or Search Console information is complete, current, or attributionally accurate.

Changes to metadata, schema, robots directives, sitemaps, canonicals, URLs, redirects, links, internal-link rules, content, or indexing settings can reduce traffic or remove pages from search results.

You must preview, test, approve, monitor, and reverse changes where appropriate.

26. LINKS, REDIRECTS, AND CLICK INFORMATION

You are responsible for destination URLs and content reached through links or redirects you create.

You must not use Aegisify Links to:

  • Conceal malware, phishing, fraud, illegal goods, or deceptive destinations;
  • Impersonate another entity;
  • Evade a platform restriction;
  • Infringe intellectual property;
  • Distribute unsolicited communications unlawfully; or
  • Track individuals without required notice or consent.

Link and click information may be affected by bots, privacy controls, proxies, caching, scanners, browser settings, network tools, duplicate clicks, blocked scripts, or third-party systems. It should not be treated as an independently audited measure of identity, conversion, or revenue.

27. EMAIL, SMTP, TICKETS, ALERTS, AND NOTIFICATIONS

Email, ticket, scan, security, renewal, backup, and other notices may fail, be delayed, be classified as spam, be blocked, or be sent to an outdated address.

You are responsible for:

  • Maintaining current contact information;
  • Configuring DNS and email authentication;
  • Monitoring dashboards directly;
  • Testing notification delivery;
  • Maintaining alternate incident contacts; and
  • Not relying exclusively on email as your only security, backup, billing, or renewal mechanism.

Aegisify does not guarantee delivery, receipt, opening, processing, or response.

28. ACCEPTABLE USE

You must not use the Services to:

  • Violate a law, regulation, sanction, court order, contract, or third-party right;
  • Conduct unauthorized security testing;
  • Access another customer’s Account, data, reports, Agent, license, or systems;
  • Upload or distribute malware, ransomware, spyware, destructive code, or unauthorized exploits;
  • Send spam, phishing, fraudulent, deceptive, threatening, harassing, or unlawful communications;
  • Facilitate child exploitation, trafficking, terrorism, violence, or illegal activity;
  • Infringe intellectual-property, privacy, publicity, or confidentiality rights;
  • Scrape, crawl, probe, or extract from Aegisify systems in a manner that creates unreasonable load or bypasses access controls;
  • Interfere with service availability, rate limits, authentication, logging, monitoring, or security;
  • Use automated means to create accounts, trials, licenses, scans, or requests beyond permitted limits;
  • Resell or commercially exploit a hosted Service without written authorization;
  • Use Aegisify output to falsely accuse another party of wrongdoing;
  • Publish Customer Security Data belonging to another party without authorization;
  • Misrepresent an Aegisify report as a certification, attestation, warranty, or legal determination;
  • Use the Services to develop or train a directly competing commercial service by copying protected interfaces, reports, taxonomies, rule content, Documentation, or proprietary output;
  • Remove proprietary notices;
  • Use Aegisify trademarks without permission; or
  • Assist another person in prohibited conduct.

Aegisify may investigate suspected misuse and cooperate with customers, hosting providers, payment providers, law enforcement, regulators, or affected parties where legally permitted and reasonably necessary.

29. API USE

If Aegisify provides API access, you must:

  • Protect API credentials;
  • Use only documented methods;
  • Comply with rate and usage limits;
  • Use API data only for authorized purposes;
  • Not cache or retain data longer than permitted;
  • Not attempt to discover undocumented endpoints or vulnerabilities without authorization;
  • Not use the API to circumvent a user interface, license, plan, security, or billing control; and
  • Promptly update or discontinue an integration when required for security or compatibility.

Aegisify may change, version, restrict, or discontinue an API and may rotate credentials or require security updates.

30. THIRD-PARTY SERVICES

The Services may depend on or interact with:

  • WordPress;
  • Hosting, server, cloud, storage, CDN, database, DNS, and certificate providers;
  • Plugins, themes, libraries, repositories, and package managers;
  • Payment and banking providers;
  • Google, Bing, search, indexing, analytics, and OAuth services;
  • Email, SMTP, communication, and support providers;
  • Vulnerability, malware, reputation, software, and threat-intelligence sources;
  • Artificial Intelligence providers;
  • WooCommerce, commerce, and payment integrations; and
  • Other third-party APIs, services, products, or websites.

Aegisify does not control and is not responsible for a third party’s:

  • Availability;
  • Security or privacy;
  • Accuracy or completeness;
  • Policies or price changes;
  • Compatibility;
  • Outages or rate limits;
  • Data handling;
  • Discontinuation;
  • Intellectual property; or
  • Conduct.

Your use of a third-party service is also governed by that third party’s terms.

31. SUPPORT

Support is provided according to the active plan, Documentation, and applicable Order.

Unless expressly included, standard support does not include:

  • Custom development;
  • Custom debugging;
  • Code review;
  • Repair of modified files;
  • Third-party plugin, theme, host, server, network, or database repair;
  • Website migration;
  • Database reconstruction;
  • Incident response or forensic investigation;
  • Malware removal;
  • SEO consulting;
  • Compliance or legal analysis;
  • Performance tuning;
  • Backup recovery performed by Aegisify personnel; or
  • Work outside the documented scope.

Aegisify may limit or refuse support where:

  • An Account is unpaid or unlicensed;
  • The Product is outdated or modified;
  • The environment is unsupported;
  • The request involves unlawful activity;
  • The user engages in harassment, threats, abuse, discrimination, or repeated misconduct;
  • The request would expose Aegisify or another party to unreasonable security risk; or
  • The request requires a separate professional-services engagement.

No support response time or resolution time is guaranteed unless stated in a signed service-level agreement.

32. PROFESSIONAL AND CUSTOM SERVICES

Custom development, debugging, migration, repair, recovery, security review, code review, performance work, incident assistance, or other professional services require a separate written scope and payment agreement.

Unless a signed quote, Order, or statement of work states otherwise:

  • Work is billed at Aegisify’s then-current professional-services rate;
  • A minimum engagement may apply;
  • Fees may be due in advance;
  • Estimates are not guarantees;
  • Customer delays, incomplete access, or changed requirements may increase fees;
  • You are responsible for obtaining authorization and backups before access is provided; and
  • No outcome is guaranteed.

Aegisify may refuse to receive a production password and may require temporary, limited, or delegated access.

33. MODIFICATIONS AND UNSUPPORTED USE

Aegisify is not obligated to support or repair problems arising from:

  • Modified, removed, replaced, renamed, or corrupted files;
  • Custom code;
  • Database edits;
  • Unofficial forks or redistributed builds;
  • Unsupported WordPress, PHP, browser, database, server, theme, plugin, or hosting versions;
  • Manual overrides;
  • Third-party conflicts;
  • License circumvention;
  • Incomplete installations or updates;
  • Failure to follow Documentation;
  • Use outside the intended scope; or
  • Unauthorized access.

This section does not restrict lawful rights provided by an applicable open-source license.

34. INTELLECTUAL PROPERTY

Except for Customer Content and third-party materials, Aegisify and its licensors own all rights, title, and interest in:

  • The Services;
  • Proprietary software and source code;
  • Hosted systems and APIs;
  • Interfaces, workflows, reports, templates, taxonomies, rule sets, and Documentation;
  • Trademarks, logos, product names, designs, and branding;
  • Website content, graphics, videos, and marketing materials;
  • Aggregations, improvements, updates, and derivative works; and
  • Other protected technology and content.

No implied license is granted.

You may not use Aegisify’s name, logo, trade dress, Product name, or confusingly similar mark without written permission.

35. FEEDBACK

If you voluntarily provide suggestions, ideas, feature requests, corrections, or other feedback, you grant Aegisify a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable right to use and incorporate the feedback without restriction or compensation.

This provision does not transfer ownership of your Customer Content or confidential business information submitted under a separate confidentiality agreement.

36. PUBLIC CONTENT, COMMENTS, TESTIMONIALS, AND SUBMISSIONS

If you submit content intended for public display, such as a blog comment, review, testimonial, community post, or public question, you grant Aegisify a worldwide, non-exclusive, royalty-free license to host, reproduce, format, publish, display, moderate, and distribute that submission in connection with the Services.

You represent that the submission is truthful, lawful, non-infringing, and based on your genuine experience where applicable.

Aegisify may remove or decline to publish public content but is not obligated to monitor every submission.

Do not submit confidential, security-sensitive, personal, or proprietary information in a public area.

Aegisify will obtain additional permission before materially altering or using a private customer communication as a public endorsement where legally required.

37. COPYRIGHT AND INTELLECTUAL-PROPERTY COMPLAINTS

If you believe content available through the Services infringes your rights, send a notice to Aegisify’s legal contact containing:

  • Your name and contact information;
  • Identification of the protected work;
  • Identification and location of the allegedly infringing material;
  • A good-faith statement that the use is not authorized;
  • A statement under penalty of perjury that the information is accurate and that you are authorized to act; and
  • Your physical or electronic signature.

Aegisify may remove content, request additional information, notify the submitting party, or terminate repeat infringers where appropriate.

This section does not represent that Aegisify has completed any particular statutory registration unless confirmed separately.

38. RESPONSIBLE SECURITY DISCLOSURE

Security researchers must follow Aegisify’s Responsible Disclosure Policy.

Research must:

  • Be limited to systems the researcher is authorized to test;
  • Use the minimum activity needed to confirm a potential issue;
  • Avoid accessing, retaining, changing, or disclosing customer data;
  • Avoid service disruption, spam, denial of service, social engineering, or physical testing;
  • Stop immediately upon encountering unintended sensitive information;
  • Protect the details of an unresolved vulnerability; and
  • Provide Aegisify a reasonable opportunity to investigate and remediate.

Nothing in these Terms authorizes testing of customer systems or third-party infrastructure.

39. PARTNERS, REFERRALS, AND COMMISSIONS

Referral, affiliate, reseller, agency, and partner relationships may be governed by separate program terms.

Unless a signed agreement states otherwise:

  • Participation does not create employment, agency, franchise, fiduciary, partnership, or joint-venture status;
  • Commissions are payable only on qualifying, collected, non-refunded transactions;
  • Fraudulent, self-referred, duplicate, misleading, spam-based, trademark-infringing, or improperly attributed transactions do not qualify;
  • Chargebacks and refunds may be deducted from future commissions;
  • Tax reporting is the partner’s responsibility;
  • Aegisify may change or end a program prospectively; and
  • Partners may not make unauthorized warranties, security guarantees, compliance claims, pricing promises, or representations on behalf of Aegisify.

40. CONFIDENTIAL INFORMATION

Information clearly identified as confidential, or that a reasonable party would understand to be confidential, must be protected using reasonable care and used only for the purpose for which it was disclosed.

Confidential Information does not include information that:

  • Is publicly available without breach;
  • Was already lawfully known without restriction;
  • Is received lawfully from another source without confidentiality duty;
  • Is independently developed without use of the confidential information; or
  • Must be disclosed by law, subject to legally permitted notice.

General support submissions are handled according to the Privacy Policy and security procedures but do not automatically create an attorney-client, fiduciary, or formal nondisclosure relationship.

Organizations requiring negotiated confidentiality terms should execute a written agreement.

41. AGGREGATED AND DEIDENTIFIED INFORMATION

Aegisify may create and use aggregated or deidentified information for:

  • Product operation and improvement;
  • Reliability and performance measurement;
  • Security and abuse prevention;
  • Vulnerability and threat trends;
  • Statistical analysis;
  • Capacity planning;
  • Research; and
  • Business planning.

Aegisify will not attempt to reidentify deidentified information except as permitted by law to validate deidentification, protect security, or respond to a customer instruction.

Aegisify will not publicly identify your organization, domain, vulnerability, logs, or security findings without authorization, except where law permits or requires disclosure.

42. EXPORT CONTROLS AND SANCTIONS

You must comply with applicable United States and international export-control, import, trade-sanction, and anti-boycott laws.

You represent that you are not:

  • Located in or ordinarily resident in a comprehensively sanctioned jurisdiction where use is prohibited;
  • Listed on an applicable denied-party or sanctions list; or
  • Using the Services for a prohibited end use.

You may not export, re-export, transfer, or provide the Services in violation of applicable trade law.

Aegisify may restrict access where reasonably necessary to comply with trade controls.

43. GOVERNMENT USE

Unless a signed government agreement states otherwise, the Services are commercial computer software and commercial computer-software documentation provided with only the rights granted under these Terms.

A purchase order, security requirement, flow-down, procurement clause, or government-specific term does not bind Aegisify unless expressly accepted in a signed writing.

Aegisify does not represent that a standard commercial Service is FedRAMP-authorized, CMMC-certified, approved for classified information, or authorized to receive CUI merely because a Product includes security or compliance-related features.

44. HIGH-RISK USE

The standard Services are not designed or warranted as the sole control for:

  • Emergency response;
  • Life-support or medical devices;
  • Aircraft, vehicles, or transportation control;
  • Nuclear facilities;
  • Weapons systems;
  • Industrial-control or critical-infrastructure safety systems;
  • Classified government systems;
  • Financial clearing or transaction authorization;
  • Public-safety dispatch; or
  • Any environment where failure could reasonably cause death, serious injury, or catastrophic physical damage.

Use in a high-risk environment requires a separate signed agreement and appropriate independent controls.

45. BLOGS, DOCUMENTATION, REPORTS, AND RECOMMENDATIONS

Aegisify blogs, Documentation, changelogs, comparisons, reports, scores, findings, samples, checklists, recommendations, AI output, and educational materials are provided for informational and operational decision-support purposes.

They do not constitute:

  • Legal advice;
  • Privacy advice;
  • Tax or accounting advice;
  • Regulatory or compliance certification;
  • A professional penetration-test certification;
  • A warranty that a system is secure;
  • A guarantee of backup or recovery;
  • A guarantee of SEO, indexing, traffic, revenue, or Artificial Intelligence visibility; or
  • A binding commitment to release a future feature.

Statements regarding future functions, roadmaps, planned releases, or development priorities are subject to change and do not create a contractual obligation unless included in a signed Order.

46. SERVICE AVAILABILITY AND CHANGES

Aegisify may maintain, update, patch, modify, replace, limit, suspend, or discontinue a Product or feature.

Changes may affect:

  • Compatibility;
  • Interfaces;
  • APIs;
  • Reports;
  • Workflows;
  • Storage or retention;
  • Feature availability;
  • Third-party integrations;
  • Pricing or packaging;
  • System requirements; or
  • Backward compatibility.

Aegisify is not obligated to maintain indefinite backward compatibility or support an outdated version.

Where practical and contractually required, Aegisify will provide reasonable notice of a material discontinuation affecting a paid Service.

No service level, uptime percentage, recovery objective, or support response is guaranteed unless stated in a signed service-level agreement.

47. SUSPENSION

Aegisify may immediately suspend all or part of the Services when reasonably necessary to:

  • Address a security threat or compromised Account;
  • Prevent fraud, abuse, unlawful conduct, unauthorized scanning, or service disruption;
  • Enforce usage, license, plan, or payment requirements;
  • Protect another customer or third party;
  • Comply with law, court order, sanctions, or government request;
  • Perform emergency maintenance;
  • Investigate a material breach; or
  • Prevent material harm.

Where circumstances reasonably permit, Aegisify will provide notice and an opportunity to cure.

Aegisify is not responsible for harm caused by a suspension reasonably imposed under this section, subject to non-waivable law.

48. TERMINATION

You may terminate these Terms by:

  • Canceling applicable subscriptions;
  • Stopping use of free Services;
  • Disconnecting or removing the Agent;
  • Deactivating and deleting installed Products; and
  • Paying all outstanding amounts.

Aegisify may terminate these Terms, an Account, license, or Service for:

  • Material breach;
  • Nonpayment;
  • Fraud or abusive chargebacks;
  • Unauthorized scanning or access;
  • Security threats;
  • License circumvention;
  • Infringement;
  • Illegal or harmful use;
  • Repeated violation after notice;
  • Required legal or regulatory action; or
  • Discontinuation of a free Service.

Upon termination:

  • Your right to access proprietary Services ends;
  • Licenses and security keys may be revoked;
  • Updates and support end;
  • Outstanding fees remain payable;
  • You must stop using proprietary paid components;
  • You are responsible for exporting eligible information before deletion; and
  • Aegisify may delete Customer Data according to the Privacy Policy, retention practices, applicable Order, and law.

Termination does not require Aegisify to remove open-source code that you lawfully possess under an applicable open-source license, but it ends access to proprietary services, licenses, updates, hosted functions, and paid entitlements.

49. WARRANTIES BY THE USER

You represent and warrant that:

  • You have authority to enter these Terms;
  • You have authority over every target you submit;
  • Your Customer Content and instructions are lawful;
  • You will comply with applicable privacy, security, employment, consumer, marketing, and computer-misuse laws;
  • You will not rely on the Services as your sole security or recovery control;
  • You will maintain appropriate backups and professional oversight;
  • You will not misrepresent Aegisify output as a certification or guarantee; and
  • You will comply with applicable third-party terms.

50. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” “WITH ALL FAULTS,” AND WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND.

AEGISIFY DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AVAILABILITY, QUIET ENJOYMENT, PROFESSIONAL WORKMANSHIP, AND WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, TRADE USAGE, DOCUMENTATION, MARKETING, OR PRIOR COMMUNICATIONS.

Aegisify does not warrant that:

  • The Services will meet your requirements;
  • The Services will be uninterrupted, available, secure, current, compatible, or error-free;
  • Every vulnerability, threat, malware file, attack, administrator account, spam message, configuration problem, SEO issue, or data exposure will be detected;
  • Every malicious request will be blocked;
  • Every legitimate request will be allowed;
  • Every backup will complete or restore;
  • Every recommendation will be correct or safe;
  • Every third-party data source will be accurate or current;
  • A defect will be corrected;
  • Data will never be lost;
  • A security incident will not occur; or
  • A particular technical, security, legal, compliance, financial, operational, SEO, marketing, or business outcome will result.

No oral or written statement creates a warranty unless expressly stated in a signed agreement by an authorized Aegisify representative.

51. ASSUMPTION OF RISK

You acknowledge and accept the risks associated with:

  • Operating an internet-connected WordPress website;
  • Installing plugins and updates;
  • Running scans;
  • Enabling logs or telemetry;
  • Using Artificial Intelligence;
  • Applying remote actions or automation;
  • Blocking network requests;
  • Changing administrator access;
  • Backing up, restoring, overwriting, or migrating data;
  • Changing SEO, URLs, redirects, schema, links, sitemaps, or crawler controls;
  • Using third-party services; and
  • Relying on technical evidence or recommendations.

You remain responsible for final decisions and production changes.

52. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGISIFY AND ITS AFFILIATES, OFFICERS, DIRECTORS, MANAGERS, MEMBERS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, DEVELOPERS, CONTRIBUTORS, LICENSORS, SERVICE PROVIDERS, REPRESENTATIVES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, ENHANCED, PUNITIVE, RELIANCE, COVER, OR CONSEQUENTIAL DAMAGES.

This exclusion includes:

  • Loss, corruption, alteration, destruction, or disclosure of data;
  • Website outage, crash, downtime, or business interruption;
  • Security incidents, malware, unauthorized access, spam, fraud, or attacks;
  • Loss of profits, revenue, subscriptions, customers, contracts, opportunities, anticipated savings, goodwill, or reputation;
  • Loss of rankings, indexing, traffic, impressions, clicks, links, conversions, or Artificial Intelligence visibility;
  • Failed backups, restores, rollbacks, migrations, updates, transfers, or recovery;
  • Blocked legitimate traffic or unblocked malicious traffic;
  • Account lockouts or unauthorized administrator access;
  • Costs of substitute products, hosting, investigation, data reconstruction, notification, remediation, recovery, or professional services;
  • Third-party claims, fines, investigations, or penalties to the extent legally limitable;
  • Losses resulting from Customer Content, instructions, configuration, integrations, third-party services, or AI output; and
  • Similar technical, commercial, legal, privacy, security, reputational, or operational loss.

The limitation applies regardless of the legal theory and even if Aegisify was advised that damages were possible.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGISIFY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED:

  • For a paid Service, the amount you paid directly to Aegisify for the affected Service during the 12 months immediately preceding the first event giving rise to the claim; or
  • For a free, trial, beta, preview, demonstration, public scan, blog, Documentation, or unpaid Service, $100 USD.

The exclusions and cap apply collectively to all claims arising from the same or related events.

They apply even if a limited remedy fails of its essential purpose.

53. NON-WAIVABLE LIABILITY

Nothing in these Terms excludes, releases, or limits liability to the extent such exclusion, release, or limitation is prohibited by applicable law.

This includes non-waivable liability involving:

  • Fraud;
  • Willful misconduct or willful injury;
  • Gross negligence where it cannot legally be waived;
  • A violation of law that cannot legally be released or limited;
  • Death or personal injury where limitation is prohibited;
  • Non-waivable consumer rights; or
  • Other liability that applicable law does not permit the parties to limit.

Where a jurisdiction does not allow a particular exclusion or cap, it applies only to the maximum extent legally permitted.

54. BUSINESS-USER INDEMNIFICATION

If you use the Services for business, commercial, professional, agency, organizational, or governmental purposes, you agree to defend, indemnify, and hold harmless Aegisify and its protected parties from claims, investigations, actions, losses, liabilities, damages, penalties, judgments, settlements, costs, and reasonable attorneys’ fees arising from or relating to:

  • Your use or misuse of the Services;
  • Your website, systems, users, customers, content, code, data, or instructions;
  • An unauthorized scan, test, access, or monitoring activity;
  • Your breach of these Terms;
  • Your violation of law, contract, privacy duty, confidentiality duty, or third-party right;
  • Customer Content;
  • Your failure to obtain authorization, notice, or consent;
  • Your configuration, modification, update, restore, migration, deployment, automation, or remote action;
  • Custom code or third-party products;
  • A claim by your customer, employee, contractor, user, regulator, or business partner; or
  • Your false or misleading representation concerning Aegisify.

Aegisify may control the defense using counsel of its choice. You may not settle a claim in a way that imposes liability, an admission, restriction, or obligation on Aegisify without prior written consent.

A consumer’s indemnity obligations apply only to the extent permitted by applicable law.

55. INFORMAL DISPUTE RESOLUTION

Before filing arbitration or litigation, the complaining party must send a written Notice of Dispute describing:

  • The party’s name and contact information;
  • The relevant Account, Order, transaction, or domain;
  • The facts and legal basis;
  • The requested relief; and
  • Supporting information reasonably necessary to evaluate the claim.

The notice must be sent to the legal email address listed below with “Notice of Dispute” in the subject line.

The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt.

This requirement does not prevent either party from seeking emergency relief needed to prevent immediate unauthorized access, misuse, infringement, data disclosure, or irreparable harm.

56. BINDING INDIVIDUAL ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR THE EXCEPTIONS BELOW, DISPUTES WILL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN A COURT OR JURY.

After completing the informal-resolution process, either party may require that a dispute arising out of or relating to these Terms, the Services, an Account, Order, subscription, license, scan, report, payment, or relationship between the parties be resolved by binding arbitration.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

Arbitration will be administered by the American Arbitration Association:

  • Under its Consumer Arbitration Rules when those rules apply; or
  • Under its Commercial Arbitration Rules for a business-to-business dispute.

The arbitration may be conducted through documents, telephone, video conference, or an in-person hearing as permitted by the applicable rules.

The arbitrator may award the same individual remedies a court could award, subject to these Terms and applicable law.

The arbitrator must issue a reasoned written decision upon request.

Arbitration fees will be allocated under the applicable rules and non-waivable law.

57. ARBITRATION EXCEPTIONS

Either party may bring:

  • An eligible individual claim in small-claims court;
  • An action seeking temporary or emergency relief to prevent unauthorized access, security compromise, misuse, infringement, or irreparable harm;
  • A claim concerning ownership or infringement of intellectual property where arbitration is not appropriate or legally required;
  • A report or complaint to a government agency; or
  • A claim that applicable law does not permit to be arbitrated.

A request for public injunctive relief that cannot lawfully be waived or limited will be handled in the forum and manner required by applicable law.

58. CLASS-ACTION AND REPRESENTATIVE-ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY MAY BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY.

The parties waive the right to have a dispute heard or resolved as:

  • A class action;
  • A collective action;
  • A consolidated action;
  • A private-attorney-general action;
  • A mass action administered as a single proceeding; or
  • A representative action on behalf of another person.

An arbitrator may not consolidate claims or award relief to anyone other than the individual parties unless all affected parties expressly agree or applicable law requires otherwise.

If a court finally determines that a particular part of this waiver is unenforceable for a specific claim or remedy, that claim or remedy will proceed in court after arbitrable matters are completed, unless law requires a different order.

59. ARBITRATION OPT-OUT

You may opt out of Sections 56 through 58 by sending an email to the legal email address listed below within 30 days after you first accept the version of these Terms containing the arbitration provisions.

The opt-out notice must include:

  • Your full legal name;
  • Your Account email address;
  • Your organization, if applicable;
  • A clear statement that you opt out of the arbitration agreement; and
  • The date.

Opting out of arbitration will not affect other provisions of these Terms or your access to the Services.

An opt-out applies only to the individual or entity that timely submits it.

60. GOVERNING LAW AND COURT VENUE

These Terms and non-arbitrated disputes are governed by the laws of the State of California, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs arbitration.

Subject to the arbitration provisions and mandatory consumer law, the parties consent to exclusive jurisdiction in the state and federal courts located in the California county where Aegisify maintains its principal place of business.

A consumer retains the benefit of mandatory protections of the law of the consumer’s residence where those protections cannot legally be waived.

61. TIME LIMIT FOR CLAIMS

To the maximum extent permitted by law, a claim arising from or relating to the Services or these Terms must be filed within one year after the claimant knew or reasonably should have known of the facts giving rise to the claim.

A claim filed after that period is barred.

This section does not shorten a limitations period that applicable law prohibits the parties from shortening.

62. FORCE MAJEURE

Aegisify is not responsible for delay, failure, interruption, or loss caused by circumstances outside its reasonable control, including:

  • Internet, cloud, hosting, network, DNS, certificate, data-center, power, telecommunications, or storage failure;
  • Cyberattack, ransomware, malware, denial of service, zero-day vulnerability, or criminal conduct;
  • Third-party outages, rate limits, policy changes, or discontinued services;
  • Natural disaster, fire, flood, earthquake, epidemic, or severe weather;
  • War, terrorism, civil unrest, labor dispute, or supply-chain disruption;
  • Government action, sanctions, embargoes, law, or court orders;
  • Failure of WordPress, a host, plugin, theme, API, search engine, payment provider, AI provider, or other third party; or
  • Customer systems, instructions, configurations, credentials, acts, or omissions.

63. ELECTRONIC COMMUNICATIONS

You consent to receive agreements, disclosures, notices, receipts, renewal notices, invoices, security communications, and other records electronically.

Electronic communications satisfy any legal requirement that a communication be in writing to the extent permitted by law.

You are responsible for maintaining a valid email address and the equipment needed to access electronic records.

64. CHANGES TO THESE TERMS

Aegisify may update these Terms to reflect:

  • New Products or features;
  • Changes to subscriptions, pricing, licensing, Agent functions, AI, telemetry, integrations, or data practices;
  • Security or operational improvements;
  • Changes in law;
  • Third-party requirements; or
  • Clarifications.

The updated Terms will display a revised effective date.

For a material change, Aegisify may provide notice through:

  • The website;
  • An Account or dashboard;
  • A Product interface;
  • An update or installation screen;
  • Email; or
  • Another reasonable method.

Aegisify may require affirmative reacceptance before continued use.

A change will not retroactively alter a dispute that arose before the change where prohibited by law.

65. ASSIGNMENT

You may not assign, delegate, transfer, or sublicense these Terms, an Account, license, or subscription without Aegisify’s prior written consent.

Aegisify may assign these Terms in connection with:

  • A merger;
  • An acquisition;
  • A corporate reorganization;
  • A financing;
  • A sale of assets;
  • A transfer to an affiliate; or
  • A successor to the relevant business.

An unauthorized assignment is void.

66. NO THIRD-PARTY BENEFICIARIES

Except for Aegisify’s protected parties under the warranty, indemnity, and liability provisions, these Terms do not create rights for a third party.

67. NO AGENCY OR FIDUCIARY RELATIONSHIP

These Terms do not create:

  • An employment relationship;
  • A partnership;
  • A joint venture;
  • A franchise;
  • An agency;
  • A fiduciary relationship;
  • An attorney-client relationship;
  • An auditor-client relationship;
  • A managed-security-services relationship; or
  • A professional-services relationship beyond an applicable signed agreement.

68. WAIVER

A failure to enforce a provision is not a waiver.

A waiver must be in writing and applies only to the specific circumstance identified.

69. SEVERABILITY AND REFORMATION

If a provision is found invalid, unlawful, or unenforceable:

  • It will be enforced to the maximum extent permitted;
  • It will be modified only as much as necessary where legally permitted; and
  • The remaining provisions will continue in effect.

The arbitration and class-waiver sections contain their own severability rules, which control for those sections.

70. SURVIVAL

Provisions that by their nature should continue after expiration or termination will survive, including provisions concerning:

  • Payment;
  • Ownership;
  • Customer Content and required data retention;
  • Confidentiality;
  • Feedback;
  • Disclaimers;
  • Assumption of risk;
  • Limitation of liability;
  • Indemnification;
  • Dispute resolution;
  • Governing law;
  • Export controls; and
  • General legal provisions.

71. ENTIRE AGREEMENT

These Terms and the incorporated agreements constitute the entire agreement concerning their subject matter and supersede prior or contemporaneous discussions, representations, proposals, and agreements concerning that subject matter.

They do not supersede a valid signed agreement that expressly controls.

72. HEADINGS AND INTERPRETATION

Headings are for convenience only.

“Including” means “including without limitation.”

The singular includes the plural and vice versa where context permits.

No ambiguity will automatically be interpreted against a party merely because that party drafted the provision.

74. FINAL ACKNOWLEDGMENT

BY ACCEPTING THESE TERMS, YOU ACKNOWLEDGE THAT:

  • YOU HAVE READ AND UNDERSTOOD THEM;
  • YOU HAVE AUTHORITY TO ACCEPT THEM;
  • CYBERSECURITY, SOFTWARE, BACKUP, ARTIFICIAL INTELLIGENCE, SEO, DATA PROCESSING, AND INTERNET-CONNECTED SERVICES INVOLVE INHERENT RISK;
  • AEGISIFY PROVIDES RISK-REDUCTION AND DECISION-SUPPORT TOOLS, NOT GUARANTEED RESULTS;
  • YOU REMAIN RESPONSIBLE FOR AUTHORIZATION, SYSTEM ADMINISTRATION, SECURITY, BACKUPS, PRIVACY, COMPLIANCE, TESTING, APPROVAL, DEPLOYMENT, AND RECOVERY; AND
  • THESE TERMS INCLUDE BINDING INDIVIDUAL ARBITRATION AND A CLASS-ACTION WAIVER UNLESS YOU TIMELY OPT OUT.
