AEGISIFY TERMS OF SERVICE AND END USER LICENSE AGREEMENT

IMPORTANT LEGAL NOTICE: This Terms of Service and End User License Agreement contains important provisions concerning software licenses, subscriptions, automatic renewals, authorized security testing, customer data, Artificial Intelligence, warranty disclaimers, limitation of liability, indemnification, binding individual arbitration, and a class-action waiver.

Please read this Agreement carefully before creating an Account, purchasing a subscription, downloading or installing software, connecting a WordPress website, initiating a scan, enabling telemetry, or otherwise using an Aegisify Product or Service.

1. PARTIES AND AGREEMENT

This Terms of Service and End User License Agreement (“Agreement”) is a legally binding agreement between you and Aegisify, Inc. (“Aegisify,” “we,” “us,” or “our”).

“You” and “your” mean:

  • The individual accepting this Agreement;
  • Any organization, business, agency, customer, employer, government entity, or other legal entity on whose behalf that individual acts; and
  • Authorized users accessing the Products through that organization’s Account.

If the correct contracting entity is an LLC or another legal entity rather than Aegisify, Inc., the correct registered legal name must replace “Aegisify, Inc.” throughout this Agreement before publication.

2. ACCEPTANCE AND ELECTRONIC ASSENT

You accept this Agreement when you:

  • Check an unchecked box expressly stating that you agree to this Agreement;
  • Click an “I Agree,” “Accept,” “Create Account,” “Register,” “Subscribe,” “Purchase,” “Download,” “Install,” “Activate,” “Connect,” “Run Scan,” or similarly labeled button when nearby text clearly explains that clicking the button constitutes acceptance;
  • Sign or electronically accept an Order, statement of work, enterprise agreement, subscription, or other document incorporating this Agreement; or
  • Continue using a Product after receiving legally sufficient notice of an amended Agreement where continued use is a legally permissible form of acceptance.

By accepting this Agreement, you represent and warrant that:

  • You have read and understand it;
  • You agree to be legally bound by it;
  • You are at least 18 years old and legally capable of entering into a contract;
  • You have authority to bind the organization for which you act;
  • Your registration and billing information is accurate;
  • Your use is lawful and authorized; and
  • You have obtained all permissions necessary to connect, scan, monitor, protect, modify, back up, restore, or otherwise operate on each submitted system.

If you do not agree, do not create an Account, subscribe, purchase, download, install, activate, connect, scan with, or use the Products.

3. DEFINITIONS

“Account” means an Aegisify user profile, organization record, partner record, license record, subscription, dashboard account, or other access record.

“Agent” means the Aegisify WordPress Agent or another Aegisify component installed in an authorized environment that performs local operations or connects the environment to Aegisify SaaS.

“Authorized Domain” means a domain, WordPress website, application, server, account, database, network, or system that you own or are expressly authorized to administer, test, scan, monitor, protect, modify, restore, or evaluate.

“Customer Content” means files, code, logs, prompts, website content, configurations, support submissions, backup material, instructions, reports, or other information that you submit, upload, transmit, connect, or make available.

“Customer Data” includes Customer Content and information originating from or relating to your Accounts, Authorized Domains, systems, users, scans, reports, integrations, subscriptions, and use of the Products.

“Documentation” means Aegisify’s published instructions, setup guides, changelogs, product descriptions, technical references, help material, and service-specific documentation.

“License” means the limited right granted under this Agreement to install, access, or use proprietary portions of a Product.

“Order” means an accepted checkout transaction, order form, subscription selection, plan, enterprise agreement, statement of work, or other written purchase document.

“Personal Information” means information defined as personal information, personal data, or a similar term under applicable privacy law.

“Products” or “Services” means the software, SaaS, websites, plugins, APIs, dashboards, scanning services, reports, support, and other offerings covered by this Agreement.

“Security Data” means information involving domains, software, versions, configurations, code, files, dependencies, users, access, activity, APIs, routes, vulnerabilities, threats, logs, scans, findings, reports, or similar technical evidence.

4. PRODUCTS AND SERVICES COVERED

This Agreement applies to all current and future Aegisify offerings, whether provided free of charge, through a trial, through a paid License, through a subscription, in beta, through an enterprise Order, as a public tool, or as part of a bundle.

Covered Products include, without limitation:

  • Aegisify Audit: WordPress security-audit SaaS, dashboards, verified targets, external scans, Agent scans, findings, reports, risk summaries, remediation tracking, and site-intelligence functions;
  • Aegisify WordPress Agent: customer-installed software that collects, structures, and transmits authorized WordPress-side Security Data;
  • Aegisify Core: Product discovery, installation, activation, licensing, trial, subscription, update, and suite-management functions;
  • Aegisify Shield: security hardening, login protection, administrator protection, activity monitoring, access controls, file integrity, malware indicators, and related security functions;
  • Aegisify WAF: request inspection, rules, blocking, allow-listing, bot protection, API protection, traffic controls, logging, alerts, threat scoring, and application-firewall functions;
  • Aegisify Backup: backup, snapshot, database, table, file, restore, rollback, migration, transfer, retention, recovery, and disaster-recovery functions;
  • Aegisify SEO: website scanning, SEO analysis, metadata, schema, indexing, Search Console integration, content analysis, issue remediation, evidence, automation, and AI-assisted functions;
  • Aegisify SiteMap: XML and HTML sitemaps, robots.txt, indexing controls, crawler policies, exclusions, and discovery functions;
  • Aegisify Links: short links, redirects, internal links, campaign links, WooCommerce links, click tracking, analytics, and link-health functions;
  • Aegisify Spam or Spam Guard: anti-spam, bot, abuse, form, registration, review, comment, search, API, and checkout-protection functions;
  • Aegisify SMTP: email configuration, transmission, testing, diagnostic, logging, alert, and delivery functions;
  • Aegisify Ticket: support-ticket, communication, attachment, workflow, and notification functions;
  • Chue License Manager and related systems: License issuance, activation, validation, domain binding, entitlement, update, billing, subscription, and anti-abuse functions;
  • Public scans, free tools, demonstrations, sample reports, APIs, integrations, partner programs, professional services, support, blogs, newsletters, Documentation, and educational material; and
  • Any update, replacement, renamed Product, successor Product, bundle, beta, preview, experiment, or future Aegisify offering.

5. AGREEMENT HIERARCHY

If Aegisify agreements conflict, the following order generally controls:

  1. A signed negotiated enterprise agreement or statement of work;
  2. An accepted Order or order form;
  3. A signed Data Processing Addendum, for privacy-processing matters within its scope;
  4. Product-specific terms;
  5. This Agreement;
  6. The Aegisify Terms of Use;
  7. The Privacy Policy, Refund Policy, Disclaimer, Documentation, and other incorporated policies.

A document controls only for the subject matter it expressly addresses.

A purchase order, procurement portal, customer policy, or customer form does not modify this Agreement unless Aegisify expressly accepts the modification in a writing signed by an authorized representative.

6. ACCOUNTS AND AUTHORIZED USERS

You are responsible for:

  • Providing accurate and current Account information;
  • Maintaining current billing, security, administrator, and domain information;
  • Protecting passwords, security keys, recovery information, API credentials, OAuth tokens, and authentication methods;
  • Using appropriate passwords and multi-factor authentication where available;
  • Restricting access to authorized personnel;
  • Removing access when a user’s authority ends;
  • Reviewing roles and permissions;
  • All activity performed through your Account or credentials; and
  • Promptly notifying Aegisify of suspected compromise or unauthorized access.

You may not share an individual Account in a manner that avoids user, plan, security, License, or subscription restrictions.

Aegisify may rely on authenticated instructions unless it has actual notice that the Account or credentials are compromised.

7. PROPRIETARY SOFTWARE LICENSE

Subject to payment of applicable fees and continued compliance with this Agreement, Aegisify grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable License during the applicable License or subscription term to:

  • Install and operate proprietary portions of the Software on the number of Authorized Domains permitted by your plan;
  • Access hosted or SaaS functionality included in your entitlement;
  • Use the Software for your internal website-management or business purposes; and
  • Use the Software in accordance with the Documentation and applicable law.

No ownership interest is transferred to you.

The License does not include rights to Aegisify-hosted systems, paid intelligence, AI processing, updates, support, premium rules, storage, reports, SaaS functionality, or other services beyond your active entitlement.

8. OPEN-SOURCE COMPONENTS

Certain software components may be distributed under the GNU General Public License or another open-source license.

Open-source components are governed by their applicable open-source licenses. Nothing in this Agreement restricts a right that an applicable open-source license grants and that cannot legally be restricted through a separate agreement.

Restrictions in this Agreement concerning copying, modification, reverse engineering, or redistribution apply only to:

  • Aegisify proprietary code;
  • Hosted SaaS functionality;
  • Proprietary APIs, rule sets, intelligence, interfaces, reports, templates, and content;
  • License keys, security keys, service credentials, and Account access;
  • Trademarks and branding;
  • Components not governed by an open-source license; and
  • Conduct outside the scope of an applicable open-source license.

Open-source rights do not provide a right to:

  • Access Aegisify-hosted systems without authorization;
  • Use premium features without an entitlement;
  • Receive hosting, support, updates, SaaS access, AI services, vulnerability intelligence, or storage without payment;
  • Bypass service-side controls;
  • Use Aegisify trademarks or branding; or
  • Represent a modified release as an official Aegisify Product.

9. AGENCIES, DEVELOPERS, AND MANAGED SERVICE PROVIDERS

You may authorize an agency, developer, contractor, or managed-service provider to operate a Product for you if:

  • The use remains within your entitlement;
  • The provider acts only for your Authorized Domains;
  • The provider is bound by appropriate confidentiality, security, and privacy obligations;
  • The provider does not use your entitlement for unrelated customers; and
  • You remain responsible for the provider’s conduct.

An agency or service provider managing multiple unrelated customers must obtain an appropriate agency, partner, reseller, or multi-domain entitlement.

10. LICENSE AND PLAN RESTRICTIONS

Plans may limit:

  • Domains, websites, users, Agents, Licenses, or organizations;
  • Scans, API calls, reports, storage, backups, logs, AI usage, or other resources;
  • Scan types, scan depth, scan frequency, or retention;
  • Features, rule sets, integrations, exports, and support;
  • Domain changes, transfers, or replacements; and
  • Free, trial, Pro, agency, business, or enterprise use.

Entitlements are determined by the applicable checkout page, Order, Account, plan description, or Documentation.

11. PROHIBITED LICENSE CONDUCT

You may not:

  • Share, sell, publish, expose, or transfer a License key, Agent key, API key, or Account credential;
  • Use a License on more domains than permitted;
  • Use repeated domain changes to avoid a limit;
  • Use a refunded, expired, stolen, copied, or unauthorized License;
  • Manipulate code, files, databases, identifiers, network requests, system clocks, or APIs to defeat entitlement controls;
  • Bypass SaaS, feature, scan, usage, payment, or domain restrictions;
  • Resell hosted Services without written authorization;
  • Remove proprietary notices from proprietary components;
  • Misrepresent an unofficial build as authorized by Aegisify; or
  • Assist another person in prohibited conduct.

12. LICENSE VALIDATION AND ENFORCEMENT

Aegisify may process technical and Account information reasonably necessary to:

  • Issue and validate Licenses;
  • Associate Licenses with Accounts and Authorized Domains;
  • Administer trials, bundles, subscriptions, and suite entitlements;
  • Enforce usage, domain, user, scan, storage, AI, feature, and plan limits;
  • Deliver updates and security fixes;
  • Verify compatibility;
  • Prevent fraud, copying, License sharing, circumvention, and abuse; and
  • Restrict access after expiration, refund, cancellation, nonpayment, compromise, or breach.

Aegisify may activate, deactivate, suspend, rotate, replace, or revoke a License or security key where reasonably necessary to operate the Services, enforce an entitlement, comply with law, protect security, or prevent abuse.

License and telemetry information may constitute Personal Information and will be handled as described in the Privacy Policy.

13. SOFTWARE INSTALLATION AND ENVIRONMENT

You are responsible for:

  • Confirming WordPress, PHP, database, server, hosting, browser, plugin, theme, API, and network compatibility;
  • Maintaining current and supported software;
  • Testing installation and updates in staging where practical;
  • Creating and verifying backups before installation or change;
  • Maintaining emergency hosting and administrator access;
  • Reviewing permissions and settings;
  • Monitoring the environment after deployment; and
  • Maintaining rollback and incident-response procedures.

Aegisify is not responsible for an unsupported environment, third-party conflict, custom code, host restriction, server limit, or manual modification.

14. UPDATES, PATCHES, AND REQUIRED VERSIONS

Aegisify may release updates, security fixes, patches, feature changes, rule updates, compatibility updates, or replacements.

An update may:

  • Add, modify, restrict, or remove a feature;
  • Change compatibility, interfaces, APIs, settings, storage, data structures, or workflows;
  • Require a supported WordPress, PHP, browser, database, server, or Product version;
  • Require updated Documentation or permissions;
  • Modify License validation or security controls; or
  • Require affirmative acceptance of amended terms.

Aegisify may require installation of a security or compatibility update as a condition of continued hosted-service access, support, telemetry, updates, scanning, or integration.

Aegisify is not required to support every prior version indefinitely or maintain permanent backward compatibility.

15. AEGISIFY AUDIT AND AUTHORIZED SECURITY TESTING

You may use Audit, scanning, SAST-style, DAST-style, API, route-discovery, authentication, dependency, vulnerability, code-analysis, malware, log, configuration, exposure, WooCommerce, or other security-review functions only on an Authorized Domain.

You represent and warrant that:

  • You own the target or have express authorization from its owner;
  • You have authority to choose the scan scope and credentials;
  • You have obtained required customer, employee, user, host, and third-party permission;
  • The testing does not violate law, contract, confidentiality, computer-misuse, or third-party rights;
  • You will use a reasonably appropriate scan intensity;
  • You will not intentionally cause disruption or damage;
  • You will not access data beyond what is reasonably necessary to validate an authorized finding; and
  • You will stop if you encounter unauthorized sensitive information or material operational risk.

You may not use an Aegisify Product to:

  • Scan an unrelated third party without authorization;
  • Gain unauthorized access;
  • Conduct destructive testing or denial-of-service testing;
  • Exfiltrate or retain third-party data;
  • Install malware, spyware, ransomware, backdoors, or persistent access;
  • Evade access controls without permission;
  • Conceal malicious activity; or
  • Use Aegisify infrastructure to attack another system.

Aegisify may require proof of authorization, verify domain control, restrict scan intensity, stop a scan, or suspend an Account.

16. PUBLIC EXTERNAL SCANS

Public scans analyze only the information available through the applicable external interface. They are not equivalent to:

  • An authenticated Agent scan;
  • A complete penetration test;
  • A source-code audit;
  • A forensic investigation;
  • An incident-response engagement;
  • A regulatory audit;
  • A compliance certification; or
  • A guarantee that a website is secure.

A public scan may process the submitted domain or URL, public responses, DNS and certificate information, routes, APIs, headers, redirects, authentication surfaces, scan status, the requester’s network information, and anti-abuse signals.

A statement that visible public-scan results are deleted after navigation applies to the result data described by that interface. Limited security, rate-limit, diagnostic, fraud-prevention, legal, and abuse records may remain according to the Privacy Policy.

17. AGENT CONNECTION AND CUSTOMER AUTHORIZATION

The Agent does not connect automatically. An authorized administrator must:

  • Install and activate it;
  • Add or select the corresponding Authorized Domain in Aegisify Audit;
  • Enter or approve the applicable Agent security key;
  • Verify the connection; and
  • Select the supported telemetry and scanning capabilities appropriate to the environment.

By completing the connection, you authorize the Agent and Aegisify SaaS to exchange supported technical information needed to provide the selected Services.

You are responsible for protecting the Agent security key and rotating or removing it when compromise is suspected or access is no longer required.

Deactivating or removing the Agent stops future Agent-side operations but does not automatically delete information already processed by SaaS.

18. AGENT TELEMETRY

Depending on Product capabilities, permissions, plan, configuration, and enabled controls, Agent telemetry may include:

  • Domain and site identity;
  • WordPress, PHP, server, database, hosting, runtime, and configuration information;
  • Plugin, theme, must-use plugin, library, package, dependency, repository, version, activation, update, compatibility, and automatic-update information;
  • User roles, capabilities, administrator information, authentication posture, and supported account events;
  • REST routes, APIs, admin-ajax actions, GraphQL interfaces, forms, endpoints, and authentication surfaces;
  • Configuration, access-control, permissions, hardening, code, file, integrity, static-analysis, malware, suspicious-pattern, and dependency signals;
  • Known vulnerabilities, severity, affected-version ranges, software health, and remediation status;
  • Supported login, user, administrator, plugin, theme, configuration, file, and WordPress activity events;
  • Scan status, progress, errors, evidence, findings, summaries, reports, recommendations, and remediation history;
  • Optional WordPress, PHP, server, application, plugin, theme, security, WAF, debug, activity, and diagnostic logs; and
  • Information selected for AI-assisted analysis.

Telemetry availability depends on Product version, permissions, sensors, configuration, subscription, and environment.

19. OPTIONAL LOGS AND SENSITIVE INFORMATION

Log access is optional unless an applicable Order expressly requires it.

Logs may contain:

  • IP addresses;
  • Usernames, email addresses, and account identifiers;
  • URLs, query parameters, request fragments, headers, and form information;
  • File paths, database references, error messages, and stack traces;
  • Authentication and administrative events;
  • Order, customer, transaction, or support references;
  • Session or request identifiers;
  • Credentials, secrets, tokens, or keys that were improperly logged; and
  • Other Personal Information or confidential information.

You are responsible for:

  • Determining whether log access is lawful and appropriate;
  • Providing required privacy, user, and employee notices;
  • Redacting unnecessary sensitive information;
  • Disabling unnecessary debugging;
  • Configuring local retention;
  • Protecting log access;
  • Rotating exposed credentials; and
  • Limiting transmission to what is reasonably necessary.

Do not submit plaintext passwords, private keys, full payment-card data, protected health information, classified information, Controlled Unclassified Information, export-controlled information, biometric templates, or other highly regulated information unless Aegisify has expressly agreed in a signed written agreement to process it.

20. CUSTOMER DATA AND PROCESSING LICENSE

As between you and Aegisify, you retain ownership of Customer Content, subject to applicable third-party rights.

You grant Aegisify and its authorized service providers a limited, worldwide, non-exclusive right to host, copy, transmit, access, analyze, transform, display, and otherwise process Customer Data only as reasonably necessary to:

  • Provide and secure the Products;
  • Perform your instructions;
  • Generate scans, findings, reports, dashboards, backups, restores, migrations, recommendations, communications, or support;
  • Operate integrations and AI-assisted functions;
  • Troubleshoot, monitor, maintain, and improve reliability;
  • Prevent fraud, attacks, unauthorized access, and abuse;
  • Comply with law and enforce agreements; and
  • Perform other uses disclosed in the Privacy Policy or an applicable Order.

You represent and warrant that:

  • You own Customer Content or have sufficient rights to provide it;
  • You have provided required notices and obtained required permissions;
  • Processing under your instructions will not violate law or third-party rights;
  • Customer Content is not unlawfully infringing, deceptive, malicious, or unauthorized; and
  • Your processing instructions are lawful and accurate.

Aegisify may restrict, quarantine, remove, or decline to process content that reasonably appears unlawful, dangerous, malicious, infringing, unauthorized, or inconsistent with this Agreement.

21. PRIVACY AND DATA-PROCESSING ROLES

The Aegisify Privacy Policy is incorporated into this Agreement.

Depending on the activity:

  • Aegisify may act as a controller or business for Account, website, payment, licensing, security, support, and operational information;
  • Aegisify may act as a processor, service provider, or contractor for Customer Data processed solely on your instructions; and
  • You may act as the controller or business responsible for information concerning your users, visitors, customers, employees, contractors, and systems.

You are responsible for:

  • Identifying an appropriate legal basis;
  • Providing required privacy notices;
  • Obtaining consent where required;
  • Responding to data-subject requests;
  • Configuring cookies, analytics, security logging, monitoring, telemetry, and retention lawfully;
  • Executing a Data Processing Addendum where needed;
  • Limiting data to what is necessary; and
  • Complying with sector-specific requirements.

Aegisify does not agree to serve as a HIPAA business associate, government-authorized CUI provider, classified-data processor, payment-card vault, regulated records custodian, or other specially regulated processor unless a signed written agreement expressly establishes that role.

22. ARTIFICIAL INTELLIGENCE

Products may use Artificial Intelligence or machine-assisted systems to:

  • Summarize scan findings or logs;
  • Identify relationships between evidence;
  • Reduce duplicate or repetitive findings;
  • Prioritize possible risks;
  • Explain technical evidence;
  • Generate reports, recommendations, code, metadata, schema, or remediation drafts;
  • Analyze public content or URLs; and
  • Support other requested Product functions.

You authorize Aegisify to process information selected for an AI function and, where necessary, provide it to authorized AI infrastructure or model providers.

AI output may be:

  • Incorrect;
  • Incomplete;
  • Outdated;
  • Misleading;
  • Duplicative;
  • Insecure;
  • Inapplicable to your environment; or
  • Based on incomplete or inaccurate evidence.

AI output is decision-support information. It is not:

  • Legal, privacy, compliance, tax, accounting, or professional advice;
  • A security or compliance certification;
  • A warranty that a finding is valid;
  • A warranty that a proposed fix is correct;
  • A guarantee that a vulnerability or SEO issue was detected;
  • A guarantee that generated code is safe; or
  • Authorization to modify a production system.

You are responsible for reviewing evidence, validating output, testing changes, maintaining backups, obtaining professional review, approving actions, and monitoring results.

You may not use AI functions to intentionally generate malware, phishing, unlawful exploits, deceptive content, infringing content, or instructions intended to harm another system.

23. REMOTE AND AUTOMATED ACTIONS

Products may allow an authorized user to initiate, approve, schedule, or automate actions affecting an Authorized Domain.

Actions may include:

  • Installing, activating, deactivating, updating, or removing supported software;
  • Applying a configuration, hardening, firewall, access, SEO, schema, metadata, sitemap, redirect, or link change;
  • Starting a scan or retrieving supported logs;
  • Creating a backup or snapshot;
  • Starting a restore, rollback, migration, or recovery process;
  • Blocking or allowing a request, address, bot, user, route, or integration;
  • Sending an email, alert, or notification; or
  • Performing another administrator-authorized operation.

By initiating or approving an action, you represent that:

  • You are authorized to perform it;
  • You reviewed the scope and likely effect;
  • You understand that it may materially alter the website;
  • You have an appropriate backup and recovery process;
  • You tested the change where practical;
  • You accept the possibility of downtime, incompatibility, data alteration, access loss, or other unintended effects; and
  • You will validate and monitor the result.

A confirmation screen or approval workflow does not transfer responsibility for the decision to Aegisify.

24. SECURITY, SHIELD, WAF, AND SPAM FUNCTIONS

Security products reduce risk but cannot eliminate it.

Security, firewall, login, administrator, malware, file-integrity, bot, API, and spam functions may:

  • Block legitimate administrators, users, customers, crawlers, APIs, payment providers, or integrations;
  • Fail to block malicious activity;
  • Produce false positives or false negatives;
  • Change access, roles, permissions, sessions, files, settings, or request handling;
  • Increase resource use;
  • Conflict with a host, CDN, cache, proxy, plugin, theme, application, or other security control;
  • Delay or interrupt a business process; or
  • Require manual investigation, allow-listing, rollback, or recovery.

You must maintain layered security, current updates, least privilege, strong authentication, independent backups, monitoring, incident response, and emergency administrator access.

25. BACKUP, RESTORE, MIGRATION, AND RECOVERY

You must maintain independent and tested backups appropriate to your business and risk.

Aegisify does not guarantee that:

  • Every file, table, field, record, plugin, theme, media item, or configuration will be captured;
  • A backup will complete or remain uncorrupted;
  • A backup or storage provider will remain available;
  • A restore, rollback, migration, synchronization, or transfer will succeed;
  • A prior state can be reproduced exactly;
  • A recovery-point or recovery-time objective will be achieved; or
  • Data created after the selected recovery point will be preserved.

A restore or migration may replace newer data, delete or duplicate records, change paths or permissions, break Licenses or integrations, alter URLs, cause downtime, or make the website inaccessible.

You must protect backup files, database exports, encryption keys, storage credentials, recovery links, and migration packages.

26. SEO, SEARCH, SITEMAP, SCHEMA, AND LINKS

Aegisify does not control search engines, web crawlers, Artificial Intelligence systems, browsers, link destinations, ranking systems, social platforms, or third-party algorithms.

Aegisify does not guarantee:

  • Crawling or indexing;
  • Search rankings;
  • Traffic, impressions, clicks, leads, conversions, sales, or revenue;
  • Display of a title, description, schema result, answer, citation, or rich result;
  • Inclusion in an Artificial Intelligence response;
  • That a crawler will honor robots.txt, noindex, canonicals, sitemaps, IndexNow, or other directives;
  • That an SEO score reflects search-engine treatment;
  • That an automated change will improve performance; or
  • That click or Search Console information is complete, current, or perfectly attributable.

Changes to URLs, redirects, links, metadata, content, schema, sitemaps, robots directives, canonicals, or indexing controls may reduce visibility or remove pages from search results.

You must review, test, approve, monitor, and reverse changes when appropriate.

27. EMAIL, SMTP, TICKETS, ALERTS, AND NOTIFICATIONS

Aegisify does not guarantee delivery, receipt, opening, processing, or response for:

  • Email;
  • Tickets;
  • Security alerts;
  • Backup alerts;
  • Scan notifications;
  • Renewal notices;
  • Reports; or
  • Other communications.

Delivery may be affected by DNS, spam filters, mail-server configuration, incorrect addresses, outages, rate limits, storage restrictions, authentication failures, or third-party policies.

You must maintain current contact information, test notifications, monitor dashboards, and maintain alternate incident and billing contacts.

28. API AND INTEGRATION USE

When using an API or integration, you must:

  • Protect credentials and tokens;
  • Use documented methods;
  • Comply with rate, plan, and usage limits;
  • Use information only for authorized purposes;
  • Comply with third-party terms;
  • Limit retention to what is permitted;
  • Not attempt to discover or exploit undocumented interfaces;
  • Not bypass billing, licensing, user-interface, or security controls; and
  • Update or discontinue an integration when reasonably required for security or compatibility.

Aegisify may change, version, restrict, suspend, or discontinue an API or integration.

29. ACCEPTABLE USE

You must not use the Products to:

  • Violate law, regulation, sanctions, court order, contract, or third-party rights;
  • Conduct unauthorized security testing;
  • Access another customer’s Account, data, report, License, Agent, or system;
  • Upload or distribute malware, ransomware, spyware, destructive code, or unauthorized exploits;
  • Send unlawful spam, phishing, fraud, threats, harassment, or deceptive communications;
  • Facilitate violence, trafficking, child exploitation, terrorism, or other illegal activity;
  • Infringe intellectual-property, privacy, publicity, or confidentiality rights;
  • Unreasonably burden, scrape, crawl, probe, or interfere with Aegisify systems;
  • Evade rate limits, authentication, monitoring, logging, or security controls;
  • Automate Account, trial, License, or scan creation beyond permitted limits;
  • Publish another customer’s Security Data without authorization;
  • Falsely characterize a report as a certification, guarantee, attestation, or legal determination;
  • Use Product output to falsely accuse another party;
  • Copy protected interfaces, rule sets, report structures, proprietary taxonomies, or Documentation to build a competing hosted service; or
  • Assist another person in prohibited activity.

30. FREE PRODUCTS, TRIALS, BETAS, AND PREVIEWS

Free, trial, beta, preview, experimental, demonstration, and early-access Products may be incomplete, unstable, changed, limited, or discontinued.

Unless expressly stated otherwise:

  • A free Product does not include guaranteed support, storage, retention, updates, or service levels;
  • A no-payment-method trial will not create a paid subscription unless you later affirmatively purchase one;
  • A trial involving payment information converts only under the clearly disclosed and affirmatively accepted terms;
  • Beta data may be deleted;
  • Features and limits may change; and
  • Aegisify may restrict repeat free trials or promotional offers.

Do not use beta or preview functions as the sole control for a production, mission-critical, regulated, medical, financial, safety-critical, government, or similarly high-risk environment.

31. SUBSCRIPTIONS AND AUTOMATIC RENEWAL

Some Products are sold as recurring subscriptions.

Before purchase, the applicable checkout or Order will identify, as legally required:

  • The Product and plan;
  • The price and billing frequency;
  • The initial and renewal term;
  • Whether renewal is automatic;
  • Any trial or promotional period;
  • The post-trial or post-promotional price;
  • Any minimum commitment;
  • The cancellation method; and
  • Other material conditions.

By separately and affirmatively accepting an automatic-renewal offer, you authorize Aegisify or its payment provider to charge the selected payment method at the disclosed frequency until cancellation.

Where required by law, Aegisify will:

  • Present renewal terms clearly and conspicuously near the request for consent;
  • Obtain express affirmative consent;
  • Provide a retainable acknowledgment;
  • Maintain required evidence of consent;
  • Provide required trial, renewal, annual, material-change, and fee-change notices;
  • Provide a reasonably accessible cancellation method;
  • Allow subscriptions accepted online to be canceled online without unreasonable obstruction or delay; and
  • Honor other non-waivable subscription rights.

Cancellation generally stops future renewal and does not retroactively refund a current billing period unless required by law or an applicable refund term.

You are responsible for exporting eligible information before access ends.

32. FEES, PAYMENT, AND TAXES

You agree to pay the amounts stated in the applicable Order.

Unless otherwise stated:

  • Fees are quoted in United States dollars;
  • Fees are due at purchase or renewal;
  • Fees are exclusive of taxes, duties, levies, and payment-provider charges;
  • You are responsible for applicable taxes other than taxes on Aegisify’s net income;
  • You authorize authorized payment processing;
  • You must maintain current billing information; and
  • Payment obligations become non-cancelable after the applicable refund period.

Aegisify may correct a pricing or billing error. Additional consent will be obtained when legally required before materially increasing an agreed charge.

Nonpayment may result in suspension or loss of paid features, updates, support, reports, scans, storage, Licenses, or Agent connectivity.

33. PRICE AND PLAN CHANGES

Aegisify may change future prices, packages, usage limits, and feature availability.

A change will not alter a charge already paid for a fixed term unless:

  • The applicable Order permits it;
  • You agree;
  • It involves an expressly permitted tax or governmental charge; or
  • Applicable law otherwise permits the change.

Aegisify will provide legally required notice of renewal-price, fee, or material subscription changes and explain how to cancel.

34. REFUNDS

Refund eligibility is governed by the Refund Policy, checkout terms, and applicable Order.

Unless a different period is clearly presented at purchase, an eligible original purchase may be subject to a 14-day refund-request period.

Subject to applicable law, refunds may be unavailable for:

  • Requests submitted after the stated period;
  • Renewals;
  • Usage-based fees;
  • Consumed scans, reports, storage, AI usage, data processing, or other resources;
  • Professional, custom, migration, recovery, consulting, or development services;
  • Enterprise agreements containing different terms;
  • Accounts terminated for fraud, abuse, infringement, unauthorized scanning, or material breach; or
  • A Product previously refunded to the same customer, organization, Account, or domain.

Upon refund:

  • The corresponding License, subscription, bundle, or entitlement may be revoked;
  • Paid hosted functionality must no longer be used;
  • Paid support and updates may end;
  • Stored information may become subject to deletion; and
  • Amounts lawfully owed may be offset.

Nothing in this Agreement eliminates a refund, rescission, warranty, or consumer right that cannot legally be waived.

35. CHARGEBACKS AND PAYMENT DISPUTES

You should contact Aegisify before initiating a chargeback so the parties can investigate a billing error, unauthorized charge, cancellation issue, fraud concern, or service dispute.

A chargeback does not automatically cancel a subscription unless Aegisify confirms cancellation or applicable law provides otherwise.

Aegisify may:

  • Suspend the affected subscription during an investigation;
  • Provide relevant transaction, acceptance, access, usage, and cancellation records to the payment provider;
  • Terminate access when payment is reversed;
  • Recover undisputed amounts and legally permitted fees; and
  • Restrict future purchases where there is evidence of fraud or repeated abusive disputes.

Aegisify will not penalize a user merely for exercising a legally protected right to dispute an unauthorized or improper charge.

36. SUPPORT

Support is provided according to the active plan, Documentation, and Order.

Unless expressly included, standard support does not include:

  • Custom development or debugging;
  • Code review;
  • Repair of modified files;
  • Third-party plugin, theme, hosting, server, database, or network repair;
  • Migration or database reconstruction;
  • Incident response, forensics, or malware removal;
  • SEO consulting;
  • Legal, privacy, or compliance analysis;
  • Performance tuning;
  • Operation of a restore by Aegisify personnel; or
  • Work outside the documented Product scope.

Aegisify may limit or refuse support for unpaid, unlicensed, unsupported, modified, unlawful, abusive, threatening, harassing, or unreasonably dangerous requests.

No response or resolution time is guaranteed unless a signed service-level agreement states otherwise.

37. PROFESSIONAL SERVICES

Custom development, recovery, migration, security review, debugging, incident assistance, performance work, or other professional services require a written scope and payment agreement.

Unless a signed Order or statement of work states otherwise:

  • Work is billed at Aegisify’s then-current rate;
  • A minimum engagement may apply;
  • Payment may be required in advance;
  • Estimates are not guarantees;
  • Changed requirements or incomplete access may increase charges;
  • You are responsible for authorization and backups; and
  • No repair, recovery, remediation, ranking, compatibility, or business result is guaranteed.

38. THIRD-PARTY SOFTWARE AND SERVICES

The Products may depend on or interact with WordPress, hosting providers, servers, databases, plugins, themes, APIs, repositories, storage providers, payment providers, search platforms, email providers, vulnerability sources, AI providers, CDNs, analytics systems, and other third parties.

Aegisify does not control and is not responsible for a third party’s:

  • Availability;
  • Security or privacy;
  • Accuracy or completeness;
  • Compatibility;
  • Policy or price changes;
  • Outages or rate limits;
  • Data handling;
  • Discontinuation;
  • Intellectual property; or
  • Conduct.

Your use of a third party is also governed by that third party’s terms.

39. MODIFICATIONS AND UNSUPPORTED ENVIRONMENTS

Aegisify is not obligated to support or repair problems caused by:

  • Custom code;
  • Modified, removed, renamed, replaced, or corrupted files;
  • Database edits;
  • Unofficial forks or redistributed builds;
  • Unsupported WordPress, PHP, database, browser, server, theme, plugin, or hosting versions;
  • Manual overrides;
  • Third-party conflicts;
  • License circumvention;
  • Incomplete installations or updates;
  • Failure to follow Documentation; or
  • Use outside the intended scope.

This section does not limit rights granted under an applicable open-source license.

40. INTELLECTUAL PROPERTY

Except for Customer Content, open-source components, and third-party materials, Aegisify and its licensors own all rights, title, and interest in:

  • Proprietary Products and hosted systems;
  • Source code, object code, APIs, interfaces, workflows, rules, templates, taxonomies, and reports;
  • Documentation, website content, graphics, videos, and educational material;
  • Trademarks, logos, Product names, branding, and designs;
  • Updates, improvements, and derivative works; and
  • Other proprietary technology and content.

No implied License is granted.

You may not use Aegisify’s names, trademarks, logos, or confusingly similar marks without written permission.

41. FEEDBACK

If you voluntarily provide ideas, suggestions, feature requests, corrections, or other feedback, you grant Aegisify a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable right to use and incorporate that feedback without restriction or compensation.

This does not transfer ownership of Customer Content or confidential information protected by a separate written agreement.

42. CONFIDENTIAL INFORMATION

Information clearly identified as confidential, or that a reasonable party would understand to be confidential, must be protected using reasonable care and used only for the purpose for which it was disclosed.

Confidential Information does not include information that:

  • Becomes public without breach;
  • Was already lawfully known without restriction;
  • Is lawfully received from another source;
  • Is independently developed without use of the confidential information; or
  • Must be disclosed by law, subject to legally permitted notice.

A support submission does not automatically create an attorney-client, fiduciary, or separately negotiated nondisclosure relationship.

43. AGGREGATED AND DEIDENTIFIED INFORMATION

Aegisify may create and use aggregated or deidentified information for operation, reliability, security, abuse prevention, statistical analysis, vulnerability trends, research, capacity planning, Product improvement, and business planning.

Aegisify will not attempt to reidentify deidentified information except as permitted by law to test deidentification, protect security, or perform an authorized instruction.

Aegisify will not publicly identify a customer, domain, vulnerability, log, or finding without authorization, except where legally permitted or required.

44. BLOGS, DOCUMENTATION, REPORTS, AND RECOMMENDATIONS

Blogs, Documentation, changelogs, comparisons, scores, reports, sample reports, findings, checklists, roadmaps, recommendations, and educational materials are informational and operational decision-support content.

They are not:

  • Legal, tax, privacy, accounting, or regulatory advice;
  • A compliance certification;
  • A professional penetration-test certification;
  • A guarantee of security;
  • A guarantee of backup or recovery;
  • A guarantee of indexing, ranking, traffic, revenue, or AI inclusion;
  • An express warranty; or
  • A binding commitment to release a planned feature.

Only a signed Order or negotiated agreement may establish a binding roadmap or future-delivery commitment.

45. SERVICE AVAILABILITY AND PRODUCT CHANGES

Aegisify may maintain, update, patch, modify, restrict, suspend, replace, or discontinue a Product or feature.

Changes may affect:

  • Compatibility;
  • Interfaces and APIs;
  • Reports and workflows;
  • Storage and retention;
  • Feature availability;
  • Integrations;
  • Pricing or packaging;
  • System requirements; or
  • Backward compatibility.

No uptime, recovery, service-level, response-time, or support guarantee exists unless stated in a signed service-level agreement.

46. EXPORT CONTROLS AND SANCTIONS

You must comply with applicable export-control, trade-sanction, import, and anti-boycott laws.

You represent that you are not:

  • Located in a prohibited jurisdiction;
  • Listed on an applicable denied-party or sanctions list; or
  • Using the Products for a prohibited end use.

Aegisify may restrict access where reasonably necessary to comply with trade law.

47. GOVERNMENT AND HIGH-RISK USE

Unless a signed government agreement states otherwise, the Products are commercial software and commercial documentation provided only with the rights granted in this Agreement.

Aegisify does not represent that a standard commercial Product is FedRAMP-authorized, CMMC-certified, approved for classified information, or authorized to receive CUI.

The Products are not designed or warranted as the sole control for:

  • Life-support or medical devices;
  • Emergency response;
  • Aircraft or vehicle control;
  • Nuclear facilities;
  • Weapons systems;
  • Industrial safety systems;
  • Classified systems;
  • Financial clearing;
  • Public-safety dispatch; or
  • Other uses where failure may cause death, serious injury, or catastrophic physical harm.

48. SECURITY AND RESPONSIBLE DISCLOSURE

Security research involving Aegisify-owned systems must comply with the current Responsible Disclosure Policy.

Research must use the minimum activity required to confirm an issue and must not:

  • Access, copy, retain, alter, or disclose customer data;
  • Cause denial of service or destructive effects;
  • Use phishing, social engineering, credential theft, or physical attacks;
  • Establish persistent access;
  • Test customer systems without written authorization;
  • Continue after encountering sensitive information; or
  • Publicly disclose an unresolved issue before a reasonable investigation period.

Submitting a report does not create a right to a bounty, payment, reward, or public recognition unless an active written bounty program expressly provides otherwise.

49. USER WARRANTIES

You represent and warrant that:

  • You have authority to enter this Agreement;
  • You have authorization over each target and system you submit;
  • Your Customer Content and instructions are lawful;
  • You will comply with privacy, security, employment, consumer, marketing, computer-misuse, and intellectual-property laws;
  • You will not rely on Aegisify as your sole security or recovery control;
  • You will maintain backups and qualified oversight appropriate to your risk;
  • You will not misrepresent Aegisify output as a certification or guarantee; and
  • You will comply with applicable third-party agreements.

50. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PRODUCTS ARE PROVIDED “AS IS,” “AS AVAILABLE,” “WITH ALL FAULTS,” AND WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND.

AEGISIFY DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, SECURITY, AVAILABILITY, QUIET ENJOYMENT, PROFESSIONAL WORKMANSHIP, AND WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, TRADE USAGE, DOCUMENTATION, MARKETING, OR PRIOR COMMUNICATION.

Aegisify does not warrant that:

  • The Products will satisfy your requirements;
  • The Products will be uninterrupted, secure, current, compatible, or error-free;
  • Every vulnerability, attack, malicious file, spam message, configuration problem, unauthorized administrator, SEO issue, or data exposure will be detected;
  • Every malicious request will be blocked;
  • Every legitimate request will be allowed;
  • Every backup will complete or restore;
  • Every recommendation will be correct or safe;
  • Every third-party source will be current or accurate;
  • Every defect will be corrected;
  • Data will never be lost;
  • A security incident will not occur; or
  • A particular technical, legal, security, compliance, financial, SEO, operational, or business result will occur.

No oral or written statement creates a warranty unless expressly included in a signed agreement by an authorized Aegisify representative.

51. ASSUMPTION OF RISK

You acknowledge and accept the risks associated with:

  • Operating an internet-connected WordPress environment;
  • Installing software and updates;
  • Running security scans;
  • Enabling telemetry or logs;
  • Using Artificial Intelligence;
  • Applying remote or automated actions;
  • Blocking network requests;
  • Changing administrator access;
  • Backing up, restoring, overwriting, or migrating data;
  • Changing URLs, links, metadata, schema, sitemaps, robots directives, or SEO settings;
  • Using third-party services; and
  • Relying on technical evidence or recommendations.

You remain responsible for final decisions and production changes.

52. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGISIFY AND ITS AFFILIATES, OFFICERS, DIRECTORS, MANAGERS, MEMBERS, SHAREHOLDERS, EMPLOYEES, CONTRACTORS, DEVELOPERS, CONTRIBUTORS, LICENSORS, SERVICE PROVIDERS, REPRESENTATIVES, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, ENHANCED, PUNITIVE, RELIANCE, COVER, OR CONSEQUENTIAL DAMAGES.

This exclusion includes:

  • Loss, alteration, corruption, destruction, or disclosure of data;
  • Website outage, crash, downtime, or business interruption;
  • Security incidents, malware, attacks, unauthorized access, fraud, or spam;
  • Lost profits, revenue, customers, contracts, opportunities, savings, goodwill, or reputation;
  • Lost rankings, indexing, traffic, impressions, clicks, links, conversions, or AI visibility;
  • Failed backups, restores, rollbacks, migrations, updates, or recovery;
  • Blocked legitimate traffic or unblocked malicious traffic;
  • Account lockout or unauthorized administrator access;
  • Costs of replacement products, hosting, investigation, reconstruction, notification, remediation, or recovery;
  • Third-party claims, fines, penalties, or investigations to the extent legally limitable;
  • Losses resulting from Customer Content, instructions, configurations, integrations, third-party services, or AI output; and
  • Similar legal, security, technical, financial, privacy, reputational, or operational loss.

The limitation applies regardless of the legal theory and even if Aegisify was advised that damages were possible.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGISIFY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE PRODUCTS WILL NOT EXCEED:

  • For a paid Product, the amount paid directly to Aegisify for the affected Product during the 12 months immediately preceding the first event giving rise to the claim; or
  • For a free, trial, beta, preview, demonstration, public scan, blog, Documentation, or other unpaid Product, $100 USD.

The exclusions and cap apply collectively to all claims arising from the same or related events and apply even if a limited remedy fails of its essential purpose.

53. NON-WAIVABLE RIGHTS AND LIABILITY

Nothing in this Agreement excludes, releases, or limits liability or rights to the extent prohibited by applicable law.

This includes non-waivable liability or rights involving:

  • Fraud;
  • Willful misconduct or willful injury;
  • Gross negligence where it cannot legally be waived;
  • Violation of law that cannot legally be released or limited;
  • Death or personal injury where limitation is prohibited;
  • Mandatory consumer warranties, cancellation rights, refund rights, or digital-content rights; and
  • Other rights or remedies that applicable law does not allow the parties to waive.

Where a jurisdiction does not permit a particular exclusion or cap, the provision applies only to the maximum extent legally permitted.

54. BUSINESS-USER INDEMNIFICATION

If you use the Products for business, commercial, professional, agency, organizational, or governmental purposes, you agree to defend, indemnify, and hold harmless Aegisify and its protected parties from claims, investigations, actions, losses, liabilities, damages, penalties, judgments, settlements, costs, and reasonable attorneys’ fees arising from or relating to:

  • Your use or misuse of the Products;
  • Your website, systems, users, customers, data, code, or instructions;
  • An unauthorized scan, test, access, or monitoring activity;
  • Your breach of this Agreement;
  • Your violation of law, privacy duty, contract, confidentiality obligation, or third-party right;
  • Customer Content;
  • Your failure to obtain authorization, notice, or consent;
  • Your configuration, modification, automation, deployment, update, restore, migration, or remote action;
  • Custom code or third-party software;
  • A claim by your customer, employee, contractor, visitor, user, regulator, or business partner; or
  • Your false or misleading statement concerning Aegisify.

Aegisify may control the defense with counsel of its choice. You may not settle a claim in a way that imposes liability, restrictions, admissions, or obligations on Aegisify without written consent.

A consumer’s indemnification obligation applies only to the extent permitted by applicable law.

55. SUSPENSION

Aegisify may suspend all or part of the Products when reasonably necessary to:

  • Address a security threat or compromised Account;
  • Prevent fraud, abuse, unauthorized scanning, unlawful conduct, or service disruption;
  • Enforce payment, License, plan, domain, or usage requirements;
  • Protect another customer or third party;
  • Comply with law, sanctions, court order, or government request;
  • Perform emergency maintenance;
  • Investigate a material breach; or
  • Prevent material harm.

Where circumstances reasonably permit, Aegisify will provide notice and an opportunity to cure.

56. TERMINATION

You may terminate this Agreement by:

  • Canceling subscriptions;
  • Stopping use of free Products;
  • Disconnecting or removing the Agent;
  • Deactivating and deleting installed Products; and
  • Paying outstanding amounts.

Aegisify may terminate an Account, License, subscription, or this Agreement for:

  • Material breach;
  • Nonpayment;
  • Fraud or abusive payment disputes;
  • Unauthorized scanning or access;
  • Security threats;
  • License circumvention;
  • Infringement;
  • Illegal or harmful use;
  • Repeated violations after notice;
  • Required legal or regulatory action; or
  • Discontinuation of a free Product.

57. EFFECT OF TERMINATION

Upon termination:

  • Access to proprietary Products and hosted Services ends;
  • Licenses and security keys may be revoked;
  • Updates and paid support end;
  • Outstanding charges remain payable;
  • You must stop using proprietary paid functions;
  • You must export eligible information before deletion; and
  • Aegisify may delete Customer Data according to the Privacy Policy, retention practices, Order, and applicable law.

Termination does not require deletion of open-source code you lawfully possess under an applicable open-source license. It does terminate proprietary hosting, SaaS, paid intelligence, updates, support, Licenses, and entitlements.

58. INFORMAL DISPUTE RESOLUTION

Before starting arbitration or litigation, the complaining party must provide a written Notice of Dispute containing:

  • The party’s name and contact information;
  • The relevant Account, Order, transaction, or domain;
  • The facts and legal basis;
  • The requested resolution; and
  • Supporting information reasonably needed to evaluate the matter.

The notice must be sent to legal@aegisify.com with “Notice of Dispute” in the subject line.

The parties will attempt in good faith to resolve the dispute for at least 30 days.

This provision does not prevent emergency relief needed to stop unauthorized access, security compromise, infringement, data disclosure, or irreparable harm.

59. BINDING INDIVIDUAL ARBITRATION

EXCEPT FOR THE EXCEPTIONS BELOW, DISPUTES WILL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT OR BEFORE A JURY.

After informal resolution, either party may require arbitration of a dispute arising out of or relating to this Agreement, the Products, an Account, Order, subscription, License, scan, report, transaction, or the relationship between the parties.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

Arbitration will be administered by the American Arbitration Association:

  • Under its Consumer Arbitration Rules when applicable; or
  • Under its Commercial Arbitration Rules for a business-to-business dispute.

Arbitration may occur through written submissions, telephone, video conference, or an in-person hearing as permitted by the applicable rules.

The arbitrator may award the same individual remedies a court could award, subject to this Agreement and applicable law.

The arbitrator will issue a reasoned written decision upon request.

Fees will be allocated under the applicable rules and non-waivable law.

60. ARBITRATION EXCEPTIONS

Either party may bring:

  • An eligible individual claim in small-claims court;
  • An action for temporary or emergency relief involving unauthorized access, compromise, misuse, infringement, or irreparable harm;
  • An intellectual-property ownership or infringement action where court treatment is appropriate;
  • A complaint or report to a government agency; or
  • A claim that applicable law does not permit to be arbitrated.

A request for public injunctive relief that cannot lawfully be waived will be handled in the forum and manner required by law.

61. CLASS-ACTION AND REPRESENTATIVE-ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY MAY BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY.

The parties waive the right to have a dispute resolved as:

  • A class action;
  • A collective action;
  • A consolidated action;
  • A private-attorney-general action;
  • A representative action; or
  • A mass action administered as one proceeding.

An arbitrator may not consolidate claims or award relief to anyone other than the individual parties unless all affected parties agree or applicable law requires otherwise.

If a court finally determines that this waiver is unenforceable for a specific claim or remedy, that claim or remedy will proceed in court after arbitrable matters are completed unless law requires a different procedure.

62. ARBITRATION OPT-OUT

You may opt out of Sections 59 through 61 by emailing legal@aegisify.com within 30 days after first accepting the version of this Agreement containing these provisions.

The notice must include:

  • Your full legal name;
  • Your Account email;
  • Your organization, if applicable;
  • A clear statement that you opt out of arbitration; and
  • The date.

Opting out does not affect other terms or your access to the Products.

63. GOVERNING LAW AND COURT VENUE

This Agreement and non-arbitrated disputes are governed by California law, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs arbitration.

Subject to arbitration and mandatory consumer law, the parties consent to exclusive jurisdiction in the state and federal courts located in the California county where Aegisify maintains its principal place of business.

A consumer retains mandatory legal protections of the consumer’s residence where those protections cannot be waived.

64. TIME LIMIT FOR CLAIMS

To the maximum extent permitted by law, a claim concerning this Agreement or the Products must be filed within one year after the claimant knew or reasonably should have known of the facts giving rise to the claim.

This provision does not shorten a limitations period where applicable law prohibits contractual shortening.

65. FORCE MAJEURE

Aegisify is not responsible for delay, interruption, or failure caused by circumstances outside its reasonable control, including:

  • Internet, cloud, hosting, network, DNS, certificate, data-center, power, telecommunications, or storage failure;
  • Cyberattack, malware, ransomware, denial of service, zero-day vulnerability, or criminal conduct;
  • Third-party outages, rate limits, policy changes, or discontinuation;
  • Natural disaster, fire, flood, earthquake, epidemic, or severe weather;
  • War, terrorism, civil unrest, labor dispute, or supply-chain disruption;
  • Government action, sanctions, embargoes, law, or court order;
  • Failure of WordPress, a host, plugin, theme, API, search engine, payment provider, AI provider, or another third party; or
  • Your systems, instructions, configuration, credentials, acts, or omissions.

66. ELECTRONIC COMMUNICATIONS

You consent to receiving agreements, disclosures, notices, receipts, renewal notices, invoices, security communications, and other records electronically.

Electronic communications satisfy legal writing requirements to the extent permitted by law.

You are responsible for maintaining a working email address and the ability to access electronic records.

67. CHANGES TO THIS AGREEMENT

Aegisify may update this Agreement to reflect:

  • New Products or features;
  • Changes to pricing, subscriptions, licensing, Agent functions, AI, telemetry, integrations, or data practices;
  • Security or operational improvements;
  • Changes in law;
  • Third-party requirements; or
  • Clarifications.

The updated Agreement will display a revised effective date.

For material changes, Aegisify may provide notice through the website, Account, dashboard, Product interface, installation screen, update screen, or email.

Aegisify may require affirmative reacceptance.

A change will not retroactively alter a dispute that arose before the change where prohibited by law.

68. ASSIGNMENT

You may not assign, transfer, delegate, or sublicense this Agreement, an Account, License, or subscription without Aegisify’s prior written consent.

Aegisify may assign this Agreement in connection with a merger, acquisition, financing, reorganization, sale of assets, transfer to an affiliate, or successor transaction.

An unauthorized assignment is void.

69. NO THIRD-PARTY BENEFICIARIES

Except for Aegisify’s protected parties under the warranty, indemnity, and liability provisions, this Agreement creates no third-party beneficiary rights.

70. NO AGENCY OR PROFESSIONAL RELATIONSHIP

This Agreement does not create employment, agency, partnership, joint venture, franchise, fiduciary, attorney-client, auditor-client, managed-security-services, or other professional relationship.

A professional-services relationship exists only under a signed written agreement.

71. WAIVER

Failure to enforce a provision is not a waiver.

A waiver must be in writing and applies only to the particular matter identified.

72. SEVERABILITY AND REFORMATION

If a provision is invalid, unlawful, or unenforceable:

  • It will be enforced to the maximum lawful extent;
  • It may be modified only as much as necessary where legally permitted; and
  • The remaining provisions will continue in effect.

The arbitration and class-waiver provisions contain their own severability requirements, which control for those provisions.

73. SURVIVAL

Provisions that should logically continue after termination survive, including provisions concerning:

  • Payment;
  • Ownership;
  • Customer Data and required retention;
  • Confidentiality;
  • Feedback;
  • Disclaimers;
  • Assumption of risk;
  • Limitation of liability;
  • Indemnification;
  • Dispute resolution;
  • Governing law;
  • Export controls; and
  • General legal provisions.

74. ENTIRE AGREEMENT

This Agreement and the incorporated documents constitute the entire agreement concerning their subject matter and supersede prior or contemporaneous proposals, discussions, representations, and agreements concerning that subject matter.

They do not supersede a valid signed agreement that expressly controls.

75. INTERPRETATION

Headings are for convenience only.

“Including” means “including without limitation.”

The singular includes the plural and vice versa where context permits.

No ambiguity will automatically be interpreted against a party merely because that party drafted the provision.

77. FINAL ACKNOWLEDGMENT

BY ACCEPTING THIS AGREEMENT, YOU ACKNOWLEDGE THAT:

  • YOU HAVE READ AND UNDERSTOOD IT;
  • YOU HAVE AUTHORITY TO ACCEPT IT;
  • SOFTWARE, SAAS, CYBERSECURITY, BACKUPS, ARTIFICIAL INTELLIGENCE, DATA PROCESSING, SEO, AND INTERNET-CONNECTED SYSTEMS INVOLVE INHERENT RISK;
  • AEGISIFY PROVIDES RISK-REDUCTION AND DECISION-SUPPORT PRODUCTS, NOT GUARANTEED RESULTS;
  • YOU REMAIN RESPONSIBLE FOR AUTHORIZATION, ADMINISTRATION, SECURITY, PRIVACY, COMPLIANCE, TESTING, APPROVAL, DEPLOYMENT, BACKUPS, MONITORING, AND RECOVERY; AND
  • THIS AGREEMENT CONTAINS BINDING INDIVIDUAL ARBITRATION AND A CLASS-ACTION WAIVER UNLESS YOU TIMELY OPT OUT.
